About approval of Changes in Regulations on disclosure of information by issuers of securities

According to Item 15 parts two of Article 7, Item 13 of article 8 of the Law of Ukraine "About state regulation of the security market in Ukraine", Articles 39 - 41 Law of Ukraine "About securities and the stock market", the Law of Ukraine "About joint-stock companies", the Laws of Ukraine of March 23, 2017 No. 1983-VIII "About modification of some legal acts of Ukraine concerning increase in level of corporate management in joint-stock companies", of March 23, 2017 "About modification of some legal acts of Ukraine concerning use of seals by legal entities and physical persons - entrepreneurs" the National commission on securities and the stock market SOLVED No. 1982-VIII:

1. Approve Changes in the Regulations on disclosure of information by issuers of securities approved by the decision of the National commission on securities and the stock market of December 3, 2013 No. 2826, registered in the Ministry of Justice of Ukraine on December 24, 2013 at No. 2180/24712 (with changes) which are applied.

2. Declare invalid the decision of State commission on securities and the stock market of May 26, 2006 No. 324 "About disclosure of information in the notification of joint-stock company on holding general meeting", registered in the Ministry of Justice of Ukraine on June 13, 2006 at No. 698/12572 (with changes).

3. To corporate management department and corporate finances (Papaika A. V.) provide submission of this decision on state registration in the Ministry of Justice of Ukraine.

4. To department of information technologies (Fomenko E. S.) provide promulgation of this decision on the official website of the National commission on securities and the stock market.

5. To management of international cooperation and communications (Yushkevich A. I.) provide publication of this decision in the official printing publication of the National commission on securities and the stock market.

6. This decision becomes effective in 30 days from the date of its official publication.

7. Control over the implementation of this decision to assign to the member of the commission Tarabakin D. V.

Changes in Regulations on disclosure of information by issuers of securities

1. In the Section I:

Item 1 to state 1) in the following edition:

"1. initiations of proceedings about bankruptcy of the issuer, decision about its sanitation;

decisions of the supreme body of the issuer or court on the termination or bankruptcy of the issuer;

changes like joint-stock company;

acquisitions directly or indirectly person (persons acting jointly) taking into account the number of the shares belonging to it and its affiliates, the controlling stake in the amount of 50 and more percent, common shares of joint-stock company;

acquisitions directly or indirectly person (persons acting jointly) taking into account the number of the shares belonging to it and its affiliates, the considerable controlling stake in the amount of 75 and more percent, common shares of public joint stock company;
