About modification and amendments in the Law on limited liability companies No. 135/2007
The Parliament adopts this organic law.
In the Law on limited liability companies No. 135/2007 (Official monitor of the Republic of Moldova, 2007, Art. No. 127-130, 548), with subsequent changes and amendments, to make the following changes and addition:
1. In Article 25:
to state the name of Article in the following edition:
"Article 25. Alienation/acquisition of share in the authorized capital of society";
add Article with parts (1/1) and (1/2) of the following content:
"(1/1) in case of acquisition of heritable share in the authorized capital of society the heir acquires by right participant status of society from the moment of modification of the State register of legal entities if the constituent document does not provide that acquisition of this status is caused by the consent of members of society.
If the constituent document provides that acquisition of participant status of society by the heir is caused by the consent of members of society, and in provision of such status to it refuses, any participant or society shall acquire share of the heir at the price not below top price from the prices offered by participants/participants or society and the price established based on net assets value for date of representation by the heir of the document certifying the right to the share acquired by inheritance.
Net assets value is confirmed by the auditor. By agreement of the parties the price of share in the authorized capital is determined by the appraiser. Expenses on confirmation of net assets value by the auditor or, on circumstances, expenses by assessment are incurred by society.
In case of acquisition of share at the heir by participants/participants or society apply as appropriate part provisions (5) Article 24 and parts (2) - (6) Article 26.
