About modification and amendments in some legal acts

The Parliament adopts this organic law.

Art. I. – The law on the capital market No. 171/2012 (2012, Art. No. 193-197, 665), with subsequent changes and amendments, to add the official monitor of the Republic of Moldova with Article 11-1 of the following content:

"Article 11-1. The procedure of cancellation, issue and sale of shares in the capital of the banks which had with non-compliance with requirements imposed to quality of shareholders

(The executive body of bank which owners of securities fall, on circumstances under action of the legal statuses relating to banking activity and concerning cancellation of bank shares within no more than 15 days after the term provided to owners of securities for sale of shares publishes 1) In departure from provisions of the Join-stock companies law No. 1134/1997 and represents to the National commission the decision on cancellation of these shares and on additional share issue of the same class in the same quantity.

(2) the Decision of executive body of bank shall include also information on the nominal (established) value of again issued shares, terms of exposure them for sale and conditions under which starting selling price, taking into account part provisions will be established (11).

(3) the National commission makes the decision on introduction of record about exception of cancelled shares with restructuring of the previous issues and the decision on registration of again issued shares within no more than 15 days from the date of submission to the National commission of the decision specified in part (1), with the relevant documents which are attached to them. Registration of share issue is performed according to regulations of the National commission.
