About transformation of Trust 12 limited liability company to Trust 12 joint-stock company
For the purpose of ensuring financial improvement, decrease in accounts payable and increase in level of capitalization of Trust 12 LLC, and also enhancement of quality management system, attraction of additional financial resources, the Cabinet of Ministers decides ensuring timely commissioning and non-admission of overestimate of estimated cost of objects:
1. Agree with offers of Trust 12 LLC, khokimiyat of Tashkent, the Ministry of Economics, Ministry of Finance of the Republic of Uzbekistan and the State committee of the Republic of Uzbekistan on assistance to the privatized companies and development of the competition:
about increase in authorized capital of Trust 12 LLC due to write-off of the available tax liability in the Government budget of the Republic of Uzbekistan as of June 1, 2018, with forming of the state share in the amount of at least 51 percent;
about transformation of Trust 12 LLC to Trust 12 joint-stock company (further - JSC Trust 12).
2. Determine that functions of the shareholder on behalf of the state in the authorized capital of JSC Trust 12 are performed by khokimiyat of Tashkent.
3. Recommend to khokimiyat of Tashkent together with JSC Trust 12 in two-month time to provide:
approval in accordance with the established procedure structure of the Supervisory board of JSC Trust 12 with inclusion of representatives of khokimiyat of Tashkent in it, the Ministries of Economics, the Ministries of Finance, the State committee on assistance to the privatized companies and development of the competition and the Cabinet of Ministers of the Republic of Uzbekistan;
approval of organizational structure, constituent documents, registration of the prospectus of the issue, forming of governing bodies and control of JSC Trust 12 from among the highly qualified specialists owning experience of corporate management and also holding other actions, stipulated by the legislation;
