About modification of some regulations

The Parliament adopts this organic law.

Art. I. - In the Join-stock companies law No. 1134/1997 (repeated publication: The official monitor of the Republic of Moldova, 2020, Art. No. 372-382, 341), with subsequent changes to make the following changes:

1. Parts (3) and (Article 12 to state 4) in the following edition:

"(3) Securities of society without fail are registered in the register of issuers of securities which is kept by the National commission on the financial market.

(4) Securities of society are recognized placed if they are completely paid by their first acquirers (subscribers) and are written down on the security accounts opened depending on circumstances, in Single Central Securities Depository (further - the Central depositary) according to provisions of the Law on Single Central Securities Depository No. 234/2016 and according to its rules or at the registrar according to the Law on the capital market No. 171/2012.".

2. Part (articles 16 after words of "The central depositary" to add 9) with the word "/registrars".

3. State Article 18 in the following edition:

"Article 18. Records on security accounts and in registers of the Central depositary / registrar

(1) Society shall submit to the Central depositary / registrar necessary documents for introduction of records into security accounts and to their registers, and the Central depositary / registrar provides account management and registers to exception of securities of society of the register of issuers of securities.

(2) Society and the Central depositary / registrar do not bear liability for damages, caused to persons registered on security accounts and in their registers in connection with non-presentation by the corresponding persons of information on change of the data.".

4. In Article 19:

part (to state 1) in the following edition:

"(1) the Account statement of securities is the document confirming record of securities on the personal account opened addressed to the owner or the keeper of shares in the Central depositary / at the registrar or, depending on circumstances, at the keeper.";
