About introduction of amendments to article 12 of the Law of Ukraine "About societies with the limited and accessorial liability"

1. Bring in article 12 of the Law of Ukraine "About societies with the limited and accessorial liability" (Sheets of the Verkhovna Rada of Ukraine, 2018, No. 13, the Art. 69) such changes:

"Article 12. Authorized capital and supplementary capital of society";

To add 2) with parts four and heel of the following content:

"4. Separately from the authorized capital of society by the charter of society creation of the supplementary capital of society at the expense of deposits (fees) of his participants can be provided. Deposits (fees) to the supplementary capital of society, brought by members of society without change of nominal value or change of the size of the authorized capital of society.

In the decision of general meeting of members of society on attraction of contribution (fee) of the member of society to the supplementary capital of society the size of such contribution (fee) is determined. Money, securities, other property if other is not established by the law can be contribution (contribution) of the member of society to the supplementary capital of society.

5. Legal regime of the property brought in the supplementary capital of society, procedure for the order by it content of the rights and obligations of members of society, and also procedure for relations between them or between members of society and society can be determined by the charter of society and/or the corporate agreement".
