1. Take into consideration that as a result of direct negotiations:

(a) between the Government of the Republic of Uzbekistan on behalf of the Ministry of investments, the industry and trade and the company "Abu Dhabi Future Energy Company PJSC - Masdar" (UAE) (further - the Investor) within the investment project "Construction of System of Accumulating of Electrical Energy Capacity of 300 MW (600 MW/hour) in the Navoiy Region" (further - the Project) on December 3, 2025 is signed the investment agreement;

(b) according to the investment agreement implementation in the Navoiy region by the Investor of designing, financing, construction and operation of system of accumulating of electrical energy by capacity of 300 MW (600 MW/hour) with attraction of direct investments in the amount of 180 million US dollars is provided;

(c) on November 3, 2025 the Investor signs the Agreement on services of accumulating of the electric power with JSC Uzenergosotish, the Agreement on connection to networks - with JSC Natsionalnye elektricheskiye seti Uzbekistana (further - Agreements).

II. Obligations and privileges

2. Determine that according to Agreements:

(a) The investor yields by the rights and obligations for benefit of the Project company organized by him (further - the Project company);

(b) The project company assumes obligation of ensuring the guaranteed readiness for operation of system of accumulating of electrical energy;
