Article 1

Bring in the Federal Law of February 8, 1998 No. 14-FZ "About limited liability companies" (The Russian Federation Code, 1998, No. 7, Art. 785; 2009, No. 1, Art. 20; No. 29, Art. 3642; 2011, No. 50, Art. 7347; 2015, No. 13, Art. 1811; 2020, No. 31, Art. 5011; 2024, No. 33, Art. 4983) following changes:

Paragraph two of Item 2 of Article 14 to add 1) with words "if other is not established by this Federal Law";

2) in Article 23:

a) third Item 2 after the words "its shares" to add the paragraph with the words "or parts of its share";

b) add with Item 9 of the following content:

"9. In case of disagreement of person to which the actual value of share or part of share in the authorized capital of society, or the society with cost determination of net assets of society based on data of accounting records of society for the purposes of payment of actual value of share or part of share in the authorized capital of society according to Items 2, of 4, 5 and 6.1 these Articles shall be paid net assets value of society for these purposes is determined proceeding from market value of assets of society and its obligations. In this case net assets value of society is determined in the form of difference between market value of assets of society and market value of its obligations the appraiser, the involved society and (or) person to whom the actual value of such share or part of such share shall be paid if other procedure for involvement of the appraiser is not provided by the charter of society.
