1. The beneficial owner - physical person which corresponds to one of the following criteria:
is owner of property of the leasing organization;
owns at least than 10 percent of shares (share in authorized fund, shares) the leasing organization, the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch;
directly or indirectly (through the third parties) finally has the right or opportunity to give obligatory for the leasing organization, the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch, specifying, to influence the decisions made by them or to otherwise control their actions.
2. Returnable leasing - financial or operational leasing in case of which the leasing recipient within one agreement of finance lease (leasing) (further - the agreement of leasing) is at the same time seller (supplier) of subject of leasing. Returnable leasing leasing in case of which the legal entity or physical person during the term of leasing becomes at the same time the leasing recipient and the seller (supplier) of subject of leasing is also recognized.
3. Remuneration (income) of the lessor - the indicator which is difference between the total amount of the leasing payments provided by the agreement of leasing, and redemption value of subject of leasing (if the agreement of leasing provides condition about the redemption of subject of leasing) and the total amount of the investment expenses of the lessor refunded by the leasing recipient as a part of leasing payments, and redemption value of subject of leasing.
4. Secondary leasing - repeated transfer of subject of the leasing returned to the lessor owing to the termination including early, or leasing agreement cancelation, in temporary ownership and use to the new leasing recipient on the terms of leasing.
5. Redemption value of subject of leasing - the cash amount provided by the agreement of leasing and paid out of leasing payments if the agreement of leasing provides condition about the redemption of subject of leasing which is determined as difference between the leasing subject cost of the agreement of leasing and part of the amount of leasing payments fully or partially refunding investment expenses of the lessor taking into account which the leasing subject cost is determined if other is not established by the legislation on leasing activities or the agreement of leasing.
6. The agreement of leasing of premises - the agreement of leasing, leasing subject of which are the apartment of private housing stock in the apartment or blocked apartment house (further, if other is not provided, - the apartment) and (or) the single-family apartment house of private housing stock (further - the single-family apartment house). At the same time other immovable things connected with the apartment and (or) the single-family apartment house general purpose (accessory) and also the parcel of land on which the single-family apartment house or the apartment registered by the organization for state registration of real estate, the rights to it and transactions with it in the blocked apartment house separated other apartments by vertical wall and located directly on the parcel of land are located can enter set of the things which are leasing subject of the agreement of leasing of premises if other is not established by legal acts.
7. The agreement of subleasing - agreement type of leasing in case of which the leasing recipient (the sublessor under the agreement of subleasing) gives to the third party (subleasing recipient) within the rights granted under the agreement of leasing to ownership and use for certain term for a fee the property received from the lessor under the agreement of leasing and constituting leasing subject.
8. Investment expenses of the lessor - costs taking into account which the cost of subject of leasing is determined and which are connected with property acquisition, intended for the subsequent transfer as leasing subject, finishing it to the condition suitable for use by the leasing recipient according to the agreement of leasing, transfer of subject of leasing to the leasing recipient, and also the expenses of the lessor which are subject to compensation by the leasing recipient according to the agreement of leasing fully or partially are not considered in case of cost determination of subject of leasing and connected with the conclusion and agreement performance of leasing.
9. Other owner - physical person or legal entity which indirectly (through the third parties) holds the shares (shares in authorized fund, shares) the leasing organization, the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch which are in ownership (direct or indirect) the beneficial owner and provides it (including on cumulative basis) the bases for rendering influence on accepted by the leasing organization, the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch, the decision or control of their actions otherwise.
10. Leasing - set of the economic and legal relations arising within the agreement of leasing, including connected with acquisition of subject of leasing.
11. Leasing activities - business activity on acquisition by the lessor in property of property for the purpose of its subsequent transfer for a fee to temporary ownership and use to the leasing recipient. Leasing activities repeated transfer of subject of leasing to temporary ownership and use to the new leasing recipient on the terms of leasing (secondary leasing) is also recognized.
12. Leasing activities with premises - leasing activities for acquisition by the lessor in property for the purpose of the subsequent transfer for a fee to temporary ownership and use to the leasing recipient of the apartment and (or) the single-family apartment house.
13. The leasing organization - the legal entity, being the commercial organization registered in the territory of the Republic of Belarus and included by National Bank in the register of the leasing organizations (further if other is not provided, - the register).
14. Leasing payments - the total amount of the payment to the lessor for acquisition and provision to the leasing recipient in temporary ownership and use of subject of leasing providing to the lessor compensation fully or partially of its investment expenses (the expenses considered in the cost of subject of leasing, other investment expenses connected with the conclusion and agreement performance of leasing) and receipt of remuneration (income). Such amount consists of the separate indivisible payments paid by the leasing recipient, the size (procedure for determination of the size) which method and frequency of introduction are established by the agreement of leasing.
15. The lessor - the legal entity, including bank and the non-bank credit and financial organization, the individual entrepreneur, the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch given the right of implementation of leasing activities, undertaking to acquire according to the agreement of leasing in property property for the purpose of its subsequent transfer as subject of leasing and to transfer leasing subject for a fee to temporary ownership and use to the leasing recipient.
16. The leasing recipient - legal entity or physical person to which according to the agreement of leasing the leasing subject is provided in temporary ownership and use.
17. The international (interstate) leasing - leasing in case of which the lessor or the leasing recipient is nonresident.
18. Operational leasing - leasing in case of which leasing payments during leasing term irrespective of its duration provide compensation to the lessor less than 75 percent of cost of subject of leasing and the agreement of leasing is provided return of subject of leasing to the lessor after leasing term.
19. The responsible official in the field of POD/FT of the leasing organization or the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch - the employee of the leasing organization or the foreign legal entity performing leasing activities in the Republic of Belarus by means of opening of branch which according to local legal acts performs measures for prevention of legalization of income gained in the criminal way, financings of terrorist activities and financing of distribution of weapons of mass destruction (further - POD/FT).
20. The seller (supplier) of subject of leasing - person with whom the lessor signs the purchase and sale agreement (deliveries) providing acquisition by the lessor in property of the property intended for the subsequent transfer to the leasing recipient as leasing subject.
21. Leasing subject cost - cost provided in temporary ownership and use to the leasing recipient of subject of leasing, determined by approval between the lessor and the leasing recipient (taking into account the restrictions set by acts of the legislation), used for calculation of leasing payments and redemption value of subject of leasing (if the agreement of leasing provides condition about the redemption of subject of leasing).
22. Financial leasing - leasing in case of which leasing payments during the term of leasing lasting at least one year provide compensation to the lessor (sublessor) at least 75 percent of cost of subject of leasing irrespective of whether the redemption of subject of leasing or its return to the lessor (sublessor) is provided by the agreement of leasing.
23. The member of the family of the leasing recipient - the spouse (spouse), children including adopted (adopted) parents, adoptive parents (adopters) of the leasing recipient. Also the brothers and sisters, the grandfather, the grandma and the grandsons living together with the leasing recipient and conducting with him general economy treat members of the family of the leasing recipient; other relatives, cousins-in-laws, disabled dependents who are living together with the leasing recipient, conducting with him general economy and signed the written agreement about recognition by the family member; other citizens, at least 5 years living together with the leasing recipient, conducting with him general economy and recognized judicially as members of his family.
24. The terms "the blocked apartment house", "former family member", "premises", "apartment house", "apartment", "apartment apartment house", "non-residential premise", "single-family apartment house" and "room" used in this Law have the values determined by the Housing code of the Republic of Belarus.
25. The term "nonresidents" used in this Law matters, determined by the Law of the Republic of Belarus of July 22, 2003 No. 226-Z "About currency control and currency exchange control".
1. Legal regulation of the relations in the field of implementation of leasing activities and control of compliance with law about leasing activities is performed according to the legislation on leasing activities, the legislation on control (supervising) activities, the international treaties of the Republic of Belarus, international legal acts constituting the right of the Eurasian Economic Union.
The consumer protection law is applied to the relations following from the agreement of leasing under which leasing recipient is the physical person which is not performing individual business activity or signing the agreement of leasing not for the purposes of implementation of individual business activity (further - the physical person - the leasing recipient) and not settled this Law.
2. Acts of the legislation on leasing activities are:
Civil code of the Republic of Belarus;
this Law;
acts of the President of the Republic of Belarus concerning regulation of leasing activities;
the resolutions of Board of National Bank concerning regulation of leasing activities accepted on the basis and in pursuance of this Law, acts of the President of the Republic of Belarus concerning regulation of leasing activities.
3. If the international treaty of the Republic of Belarus establishes other rules, than those which contain in this Law then are applied rules of the international treaty.
