About introduction of amendments to the Law of Ukraine "About securities and the stock market" concerning disclosure of information in the stock market

The Verkhovna Rada of Ukraine decides:

1. Bring in the Law of Ukraine "About securities and the stock market" (Sheets of the Verkhovna Rada of Ukraine, 2006, No. 31, Art. 268; 2008, N 50-51, Art. 384; 2009, No. 17, Art. 236, N 49, Art. 733; 2010, No. 38, Art. 505; 2011, No. 10, Art. 65) following changes:

The paragraph the twelfth Article 1 to state 1) in the following edition:

"the prospectus of the issue of securities - the document containing information on placement of securities and other data provided by it and other laws determining features of placement of certain types of securities";

Paragraph one of part four of Article 17 to replace 2) with two paragraphs of the following content:

"4. Underwriting - placement of securities by the dealer in securities by proxy, from name and at the expense of the issuer.

The underwriter can provide consultations to the issuer concerning placement of securities of this issuer".

With respect thereto paragraphs two - to consider third respectively paragraphs third - the fourth;

Paragraphs of the sixth and seventh part two of article 28 after the word of "release" to add 3) with the words "and prospectus of the issue";

4) in Article 29:

state part one in the following edition:

"1. The issuer submits to State commission on securities and the stock market the statement and documents necessary for registration of release and the prospectus of the issue of securities not later than within 60 days after decision making about placement of securities by body of the issuer, authorized to make the relevant decision";

after part one to add with new part of the following content:

"2. State commission on securities and the stock market:

1) after the receipt of the statement and documents necessary for registration of release and the prospectus of the issue of securities, performs at the same time registration of release and the prospectus of the issue of securities or refuses registration during:
