recognizing importance of development of energy markets and gas transmission infrastructure, and also need of ensuring reliability of gas supply,

in view of mutual interest of the states of the Parties in activities of Beltransgaz open joint stock company (Republic of Belarus),

wishing to promote long-term mutually beneficial cooperation in the gas industry,

agreed as follows:

Article 1 Subject of the agreement

The parties develop long-term mutually beneficial cooperation in ensuring activities of Beltransgaz open joint stock company (Republic of Belarus) (further - JSC Beltransgaz).

The Belarusian Side till November 25, 2011 provides the conclusion between the State committee on property of the Republic of Belarus (further - Committee) and Gazprom open joint stock company (Russian Federation) (further - JSC Gazprom) the purchase and sale agreement of shares of JSC Beltransgaz according to which the Committee till December 23, 2011 transfers to the possession JSC Gazprom the packet of common (ordinary) shares of JSC Beltransgaz in number of 114 644 096 pieces in total constituting 50 percent of the paid authorized capital of JSC Beltransgaz worth 2 500 000 000 US dollars so that the number of the stocks of JSC Beltransgaz owned by JSC Gazprom made 100 percent. JSC Gazprom shall pay the cost of such block of shares.
