1. The share issues placed before entry into force of the Federal Law of April 22, 1996 N 39-FZ "About the security market" without state registration are subject to state registration according to this Federal Law.
Documents for state registration of the specified share issues according to this Federal Law shall be submitted no later than one year from the date of its entry into force.
2. The state registration of share issues performed according to this Federal Law is carried out along with state registration of reports on results of release of these shares.
3. According to this Federal Law the registering body shall carry out state registration of release and the report on results of share issue or to make the motivated decision on refusal in their state registration in time no later than 60 days from the date of receipt of all necessary documents.
The decision on refusal in state registration of share issue is made on the bases provided by the Federal Law of April 22, 1996 N39-FZ "About the Security Market", except for case of violation by joint-stock company - the issuer of requirements of the legislation of the Russian Federation on securities regarding prohibition on share placing before state registration of their release.
4. Owners of securities which state registration of release is performed according to this Federal Law persons to whom securities belong at the time of such state registration are recognized. Transactions based on which specified persons acquired securities cannot be acknowledged invalid due to the lack of state registration.
