About modification and amendments in some legal acts

The Parliament adopts this organic law.

Art. I. - In the Law on financial institutions No. 550-XIII of July 21, 1995 (repeated publication: The official monitor of the Republic of Moldova, 2011, No. 7881, of the Art. 199), with subsequent changes to make the following changes and additions:

1. In Article 3:

after the prolog to add Article with the following concepts:

"the potential acquirer - any person who in subsequent will acquire in any manner, directly or indirectly, essential equity interest of bank or will increase the essential share so that the proportion of its voting powers or share in the authorized capital corresponded or exceeded 20, 33 or 50 percent or so that the bank became its department;

"control - the relations between parent society and its department according to concepts of this Article or the similar relations between two persons;";

in the concept "essential share" changes concern only the text in state language;

after the concept "capital allocation" to add Article with the following concept:

"indirect acquisition / ownership - acquisition share/ownership of shares in the authorized capital of bank by means of person over whom the acquirer/owner, including his vygodopriobretayushchy owner, exercises control;";

after concept "financial institution" to add Article with the following concept:

"parent society - person who is in one of the following situations:

a) has the majority of voting powers in other face (department);
