About introduction of amendments to the Law of Ukraine "About state registration of legal entities and physical persons - entrepreneurs" concerning simplification of the termination of legal entities by merge, accession, separation, transformation (reorganization)

The Verkhovna Rada of Ukraine decides:

1. Bring in the Law of Ukraine "About state registration of legal entities and physical persons - entrepreneurs" (Sheets of the Verkhovna Rada of Ukraine, 2003, No. 31-32, of Art. 263; 2011, No. 46, Art. 512; 2014, No. 44, Art. 2040) following changes:

Paragraph one of part two of Article 35 to state 1) in the following edition:

"2. From the date of entering into the Unified state register of record about the decision of founders (participants) of the legal entity or the body authorized by them about the termination of the legal entity by liquidation according to the decision made by founders (participants) of the legal entity or the body authorized by them it is by a court decision forbidden";

2) in Article 37:

in paragraph three of part one of the word "which accepted" shall be replaced with words "to powers of which acceptance belongs";

to state the paragraph of the seventh part nine in the following edition:

"The Unified state register contains data that the legal entity who stops as a result of separation has not closed separate divisions which destiny is not determined by distribution balance";

the eleventh to add part with the offer of the following content: "If the Unified state register contains data that such legal entity has not closed separate divisions, the state registrar shall enter at the same time in the Unified state register corresponding changes in data on these separate divisions regarding accessory of legal person legal successor based on the data provided by the legal entity who stops";

the second offer of part of the seventeenth to exclude.
