The government of the Republic of Kazakhstan and the Government of the Kyrgyz Republic which are hereinafter referred to as the Party for the purpose of mutually beneficial cooperation in production and realization of uranium bearing raw materials and development of the intergovernmental agreement of June 21, 1994, agreed as follows:

Article 1

The parties agreed to create joint stock company in the form of joint business with the mixed capital which purpose will be entry into the International stock market for attraction of share capital and investments into the uranium mining industry.

Article 2

The parties determined that founders of joint business will be from the Republic of Kazakhstan - National joint stock company on nuclear power and the industry of "KATEP", from the Kyrgyz Republic - the Kara-Balta mining plant.

Article 3

The parties agreed that material resources of joint business will be from the Kazakh side - the Central mine administration NAC KATEP, from the Kyrgyz side - the Kara-Balta mining plant for what it is necessary to perform their incorporating with transfer of blocks of shares to part in the Authorized fund of joint business.

Article 4

The parties agreed that the realization of protoxide oxide of uranium is enabled by joint business on the basis of the Agreement of founders according to requirements of IAEA and intergovernmental agreements for export of these products.
