About entering of amendment into the Law on the state company No. 146-XIII of June 16, 1994
The Parliament adopts this organic law.
Art. I. – The law on the state company No. 146-XIII of June 16, 1994 (1994, No. 2, Art. 9), with subsequent changes, to add the official monitor of the Republic of Moldova with Chapter V of the following content:
"Chapter V. Disclosure of information by the company
Article 15. General provisions concerning disclosure of information
Provisions of this Chapter are applied to the companies obliged to book audit of annual financial reports according to article 131 of this law.
Article 16. Disclosure of information
(1) the Company shall publish the annual statement till May 30 of the following for reporting years and take necessary measures in order that the report remained public for at least three years on own web page of the company and the web page of body of the public power which participates in enterprise management or has in it the status of the founder.
(The Annual statement of the company shall contain 2) at least:
a) the annual financial report, including information on compensation of members of the administrative, leading and supervisory authorities, other obligations which arose or accepted in connection with pensions of present or former members of these bodies on categories;
b) activities report of management;
c) the correct and complete description of development and achievements of financial and economic activities of the company, and also the description of the main risks which it faces.
(3) In case of publication of the annual statement the company completely publishes also audit opinion.
(4) the Annual statement of the company is considered promulgated if it is placed the companies, in electronic form on own web page, and on the web page of body of the public power which participates in enterprise management or has in it the status of the founder.".
Art. II. – Annual statements of the companies for 2015 shall be published according to this law till July 1, 2016.
