About entering of amendments into the Law of the Republic of Armenia "About joint-stock companies"

Article 1. Article 1 of the Law of the Republic of Armenia "About joint-stock companies" of September 25, 2001 ZR-232 (further - the Law) after part 4 to add with part 4.1 following of content:
"4.1. Provisions of this Law extend to the relations connected with investment funds if other regulation is not provided by the Law of the Republic of Armenia "About investment funds".".
Article 2. To add part 2 of article 8 of the Law with the new paragraph of the following content:
"Open Society which has no the fixed capital and which capital is at any time equivalent costs of its net assets is considered Society with the variable capital. In form of business of Society with the variable capital only the open-end corporate investment fund can be created. Features of Society with the variable capital are established by the Law of the Republic of Armenia "About investment funds". The provisions of this Law concerning to change of the authorized capital of Society do not extend to Society with the variable capital.".
Article 3. To add part 1 of article 15 of the Law with the new offer of the following content: "For decision making on the questions provided by this part, the greatest number of voices can be provided by the charter of Society.".
Article 4. The offer 1 of part 3 of article 27 of the Law after the words "2/3 voices" to add with words "if the charter of Society does not provide the greatest number of voices".
Article 5. To add part 4 of article 32 of the Law after the words "3/4 voices" with words "if the charter of Society does not provide the greatest number of voices".
Article 6. To add part 3 of article 36 of the Law after the words "2/3 voices" with words "if the charter of Society does not provide the greatest number of voices".
