RESOLUTION OF BOARD OF NATIONAL BANK OF THE REPUBLIC OF KAZAKHSTAN

of February 7, 2019 No. 26

About modification and amendments in the resolution of Board of National Bank of the Republic of Kazakhstan of April 30, 2015 No. 71 "About approval of standards of the state services of National Bank of the Republic of Kazakhstan"

For the purpose of enhancement of regulatory legal acts of the Republic of Kazakhstan the Board of National Bank of the Republic of Kazakhstan DECIDES:

1. Bring in the resolution of Board of National Bank of the Republic of Kazakhstan of April 30, 2015 No. 71 "About approval of standards of the state services of National Bank of the Republic of Kazakhstan" (it is registered in the Register of state registration of regulatory legal acts at No. 11534, it is published on July 15, 2015 in information system of law of Ad_let) the following changes and amendments:

to state the standard of the state service "Accounting Registration of the Microfinancial Organizations" approved according to appendix 3 to the specified resolution in edition according to appendix 1 to this resolution;

in the standard of the state service "Issue of consent to appointment (election) of leading employees of the financial organizations, bank, insurance holdings, "Fund of Guaranteeing Insurance Payments" joint-stock company, approved according to appendix 6 to the specified resolution:

2) of item 4 to state the subitem in the following edition:

"2) the most allowed time of servicing of uslugopoluchatel on receiving and delivery of documents - 15 (fifteen) minutes.

Uslugopoluchatel represents complete document package (with indication of candidates, responsible persons, numbers of contact telephone numbers and e-mail addresses) to the service provider for review of candidates no later than 60 (sixty) calendar days from the date of their appointment (election) in time.

In case of representation by uslugopoluchatel of incomplete document package, 9-1 and 10 these standards of the state service provided by Items 9,, the service provider refuses documents acceptance for review of the candidate and within 3 (three) working days returns document package to the applicant without consideration.

In case of discrepancy of the submitted documents to requirements of Items 9, of 9-1 and 10 these standards of the state service the service provider sends uslugopoluchatel the letter with notes for their elimination and submission of the modifed (corrected) documents conforming to requirements of the legislation of the Republic of Kazakhstan. At the same time the term of consideration of documents by authorized body for review of the candidate is not interrupted.";

state Item 7 in the following edition:

"7. The state service is rendered on paid basis in case of issue of consent to appointment (election) of leading employees of banks, the insurance (reinsurance) organizations, insurance broker, holding, Fund. The rate of charge constitutes 25 (twenty five) monthly settlement indicators.

The state service is rendered free of charge in case of issue of consent to appointment (election) of leading employees of the single accumulation pension fund, the Voluntary accumulation pension funds, the legal entities who are applying for receipt of the license or having licenses for implementation of activities in the security market, the central depositary.

Payment of collection is performed in cash or non-cash form through the banks of the second level or the organization performing separate types of banking activities and also in non-cash form through payment gateway of "the electronic government".";

1) to state the subitem to part one of Item 8 in the following edition:

"1) the service provider - Monday through Friday from 9:00 till 18:30 o'clock with lunch break from 13:00 till 14:30 o'clock, except days off and holidays, according to the labor law of the Republic of Kazakhstan;

the schedule of reception of applications and issue of results of rendering the state service from 9:00 till 17:30 o'clock with lunch break from 13:00 till 14:30 o'clock;";

in Item 9:

2) to exclude the subitem;

in the subitem 5):

the paragraph one to state in the following edition:

"The statement from the decision of authorized body of uslugopoluchatel is certified by the signature of the worker (workers), representative (representatives) on signing of this document, and contains specifying on fidelity of the statement;";

subitems 7) to exclude 9) and 10);

the second to state part in the following edition:

"The documents listed are represented to the parts one of this Item consisting of several sheets numbered and stitched with indication of the number of the stitched sheets on the label pasted on the back of the last leaf on insertion node, certified by the signature of the head of executive body of uslugopoluchatel (person solely performing functions of executive body) or person fulfilling its duties (with submission of the copy of the supporting document about assignment of fulfillment of duties), except for the documents specified in part three of this Item.";

the fourth to state part in the following edition:

For rendering the state service in case of the address of uslugopoluchatel to the service provider in case of approval of the leading employee of bank, insurance (reinsurance) organization, insurance broker, holding, Fonda in addition is represented the copy of the document confirming payment of collection for issue of consent to appointment (election) of the leading employee of bank, the insurance (reinsurance) organization, insurance broker, holding, Fund, except as specified payments through payment gateway of "the electronic government".";

2) of Item 10 to state the subitem in the following edition:

"2) the documents specified in subitems 3), 4), 5), 6), 8), 11) and 12) Item 9 of this standard of the state service (in the form of electronic copies of documents in the PDF format) and Item 9-1 (in the form of electronic copies of documents, except as specified payments through payment gateway of "the electronic government") which are attached to electronic request. 1) for physical persons - 100 (hundred) monthly settlement indicators (further - MRP);

2) for legal entities - 500 (five hundred) MRP.

For rendering the state service in case of the address of uslugopoluchatel to the service provider for receipt of consent to acquisition of the status of the large member of bank or bank holding, in the cases provided by Items 9, of 10, of 11, of 12, of 13, of 14, of 15, of 16, of 17, 20 and 21 these standards of the state uluga the copy of the document confirming payment of collection for issue of consent to acquisition of the status of the large member of bank or bank holding, except as specified payments through payment gateway of "the electronic government" in addition is submitted.";

If uslugopoluchatel is the bank acquiring the status of the large member of the bank which performed transaction, the stipulated in Article 61-4 and 61-11 Laws of the Republic of Kazakhstan of August 31, 1995 "About banks and banking activity in the Republic of Kazakhstan" (further - the Law on banks), or the financial nonresident organization of the Republic of Kazakhstan, the copy of the decision of governing body of uslugopoluchatel on share acquisition of bank is submitted;";

3) to state the subitem to part one of Item 11 in the following edition:

"3) data on the credit score of uslugopoluchatel assigned to one of the international rating agencies which list is established by authorized body on regulation, control and supervision of the financial market and the financial organizations (further - authorized body), except as specified, stipulated in Item 1 article 17-1 of the Law on banks.";

"23. The list of the documents necessary for rendering the state service in case of the address of uslugopoluchatel on the portal:

1) the request in electronic form certified by the EDS of uslugopoluchatel;

2) for obtaining to uslugopoluchatel - physical person of consent to acquisition of the status of the large member of bank:

3) if uslugopoluchatel - the physical person began to correspond to signs of the large member of bank without receipt of the prior written consent of authorized body based on the gift agreement, in case of submission to them of the statement for acquisition of the corresponding status, are in addition represented:

4) for obtaining to uslugopoluchatel - legal resident person of the Republic of Kazakhstan of consent to acquisition of the status of the large member of bank:

the documents specified:

in Item 9-1 (in the form of the electronic copy of the document, except as specified payments through payment gateway of "the electronic government") and subitems 2), 3), 5), 6), 7), 8) and 9) (in the form of electronic copies of documents in the PDF format), subitems 4) and 10) (in the form of electronic documents) Item 10 of this standard of the state service which are attached to electronic request;

5) uslugopoluchatel - the physical persons wishing to acquire the status of the large member of bank from shares of ownership of 25 (twenty five) or more percent placed (less exclusive and redeemed by bank) shares, and also uslugopoluchatel - the legal entities wishing to acquire the status of bank holding in addition to the documents and data specified in Items 9, 9-1, 10, of 11, of 12, of 13, of 14, of 15, of 16, 17 and 21 these standards of the state service represent the business plan (in the form of the electronic copy of the document in the PDF format);

6) for simultaneous receipt of consent to acquisition of the status of the large participant, bank holding of several financial organizations the uslugopoluchatel-physical person submits the documents specified in Items 9-1 (in the form of the electronic copy of the document, except as specified payments through payment gateway of "the electronic government") and 13 these standards of the state service (in the form of electronic copies of documents in the PDF format) which are attached to electronic request;

The uslugopoluchatel who is legal resident person of the Republic of Kazakhstan represents 7) for simultaneous receipt of consent to acquisition of the status of the large participant, bank holding and (or) insurance holding of several financial organizations:

the documents specified:

in Item 9-1 of this standard of the state service (in the form of the electronic copy of the document, except as specified payments through payment gateway of "the electronic government") which is attached to electronic request;

in subitems 2), 3), 5), 6), 7), 8) and 9) Item 14 of this standard of the state service (in the form of electronic copies of documents in the PDF format) which are attached to electronic request;

in subitems 4) and 10) Item 14 of this standard of the state service (in the form of electronic documents) which are attached to electronic request;

8) the uslugopoluchatel wishing to receive the status of bank holding in addition to the documents and data provided by Items 9-1, 10, 11 and 12 these standards of the state service submits the documents specified in Item 17 of this standard of the state service (in the form of electronic copies of documents in the PDF format) which are attached to electronic request.

The service provider receives data of the identity documents confirming lack of not removed or unspent conviction on state registration (re-registration) of the legal entity from the corresponding state information systems through lock of "the electronic government".";

state Item 24 in the following edition:

"24. The bases for refusal in rendering the state service are:

1) uslugopoluchatel - physical person or the leading employee of the uslugopoluchatelya-legal entity:

earlier was the head, the member of governing body, the head, the member of executive body, the chief accountant of the financial organization, the large participant - physical person, the head of the large participant (bank holding) - the legal entity of the financial organization during the period no more than 1 (one) prior to adoption by authorized body of the decision on reference of bank to category of insolvent banks, about preservation of the insurance (reinsurance) organization or the forced redemption of its shares, the deprivation of the license of the financial organization which entailed its liquidation and (or) the termination of implementation of activities in the financial market or introductions in legal force of the judgment about involuntary liquidation of the financial organization or recognition by her bankrupt in the procedure established by the legislation of the Republic of Kazakhstan. The specified requirement is applied within 5 (five) years after adoption by authorized body of the decision on reference of bank to category of insolvent banks, about preservation of the insurance (reinsurance) organization or the forced redemption of its shares, the deprivation of the license of the financial organization which entailed its liquidation and (or) the termination of implementation of activities in the financial market or introductions in legal force of the judgment about involuntary liquidation of the financial organization or recognition by her bankrupt in the procedure established by the legislation of the Republic of Kazakhstan. This requirement does not extend to leading employees of banks, 50 (fifty) and more percent of voting shares which directly or indirectly the national managing holding owns, concerning which restructuring according to the Law on banks, except for leading employees, the appointed (elite) before acquisition by the Government of the Republic of Kazakhstan or to the national managing director of holding of shares of the specified banks according to article 17-2 of the Law on banks was performed;

at which consent to appointment (election) to leading employee position in this and (or) other financial organization was withdrawn. The specified requirement is applied within the last 12 (twelve) consecutive months after adoption by authorized body of the decision on withdrawal of consent to appointment (election) to leading employee position. The leading employee of uslugopoluchatel (licensee) it cannot be appointed also the person who committed corruption crime or being attracted within 3 (three) years before date of appointment (election) to disciplinary responsibility for making of corruption offense (is elected);

earlier was the head, the member of governing body, the head, the member of executive body, the chief accountant of the financial organization, the large participant (large shareholder) - physical person, the head, the member of governing body, the head, the member of executive body, the chief accountant of the large participant (large shareholder) - the legal person issuer who allowed default on payment of coupon remuneration for issued issued securities within 4 (four) and more consecutive periods or the outstanding amount of which on payment of coupon remuneration for issued issued securities on which the default was allowed constitutes quadruple and (or) more than a size of coupon remuneration, or the default size on payment of principal debt for issued issued securities constitutes the amount in ten thousand times exceeding monthly settlement indicator established by the law on the republican budget on payment date. The specified requirement is applied in

current of 5 (five) years from the moment of emergence of the circumstances provided by this subitem;

2) unstable financial position of uslugopoluchatel.

Sign of unstable financial position of uslugopoluchatel is availability of one of the following conditions:

legal person-uslugopoluchatel is created less than 2 (two) prior to day of filing of application;

obligations of uslugopoluchatel exceed its assets less the amount of the assets placed in shares and shares in the authorized capital of other legal entities, and assumed to share acquisition of bank;

losses by results of each of 2 (two) complete financial years;

the size of obligations of uslugopoluchatel represents significant risk for financial condition of bank;

availability of the debt of uslugopoluchatel to bank delayed and (or) carried for balance of bank;

the analysis of financial effects of acquisition by uslugopoluchatel of the status of the large member of bank assumes deterioration in financial condition of uslugopoluchatel;

the property value of uslugopoluchatel (less obligations of uslugopoluchatel) is insufficient for share acquisition of bank;

other bases testimonial of availability of unstable financial position of uslugopoluchatel and (or) possibility of causing damage to bank and (or) its depositors;

3) violation as a result of acquisition by uslugopoluchatel of the status of the large member of bank or bank holding of requirements of the legislation of the Republic of Kazakhstan in the field of protection of the competition;

4) cases when in the transaction on acquisition of the status of the large member of bank or bank holding by the acquiring party the legal entity is (his large participant (large shareholder), registered in offshore zones which list is established by authorized body;

5) non-compliance by uslugopoluchatel of other requirements established by legal acts of the Republic of Kazakhstan to large members of bank and bank holdings;

6) the analysis of financial effects of acquisition by uslugopoluchatel of the status of the large member of bank or bank holding assumes deterioration in financial condition of bank;

7) absence at the uslugopoluchatelya-financial nonresident organization of the Republic of Kazakhstan of powers for implementation of financial activities within the legislation of country of source;

8) absence at uslugopoluchatelya-legal nonresident person of the Republic of Kazakhstan of minimum necessary rating of one of the international rating agencies which list is stipulated in Item 3 resolutions of Board of National Bank of the Republic of Kazakhstan of December 24, 2012 No. 385 "About establishment of the minimum rating for legal entities and the countries which need of availability is required according to the legislation of the Republic of Kazakhstan regulating activities of the financial organizations, the list of the rating agencies assigning this score", registered the Register of state registration of regulatory legal acts at No. 8318, except as specified when availability of the specified rating is not required for legal nonresident person of the Republic of Kazakhstan in 10 (ten) or more percent of placed shares of bank or to vote indirectly in 10 (ten) or more percent of voting shares of bank through ownership (vote) of shares (shares) of the legal entity - the nonresident of the Republic of Kazakhstan who is the large member of the bank which is directly owning in 10 (ten) or more percent of placed shares of bank or having opportunity to vote in 10 (ten) or more percent of voting shares of the bank having the minimum required rating assuming to own indirectly;

9) inefficiencies of the provided plan of recapitalization of bank in case of possible deterioration in financial condition of bank;

10) absence at uslugopoluchatel - physical person, at the leading employee of uslugopoluchatel - the legal entity of faultless goodwill;

11) cases when the uslugopoluchatel was or is large participant earlier - physical person or the first head of the large participant - the legal entity and (or) the leading employee of the financial organization during the period no more than 1 (one) prior to adoption by authorized body of the decision on reference of bank to category of insolvent banks, about preservation of the insurance (reinsurance) organization, the forced redemption of its shares, deprivation of the license of the financial organization, and also about involuntary liquidation of the financial organization or recognition by her bankrupt in the procedure established by the legislation of the Republic of Kazakhstan. The specified requirement is applied within 5 (five) years after adoption by authorized body of the decision on reference of bank to category of insolvent banks, about preservation of the insurance (reinsurance) organization, the forced redemption of its shares, deprivation of the license of the financial organization, and also about involuntary liquidation of the financial organization or recognition by her bankrupt in the procedure established by the legislation of the Republic of Kazakhstan;

12) discrepancy of the legislation in the field of the consolidated supervision of the financial organizations of the country of the location of uslugopoluchatel - the legal entity to the requirements for the consolidated supervision established by legal acts of the Republic of Kazakhstan;

13) on large participants - the legal entities and bank holdings which are the financial nonresident organizations of the Republic of Kazakhstan - lack of the agreement between authorized body and bodies of financial supervision of the state which resident is the uslugopoluchatel, providing exchange of information, except as specified, established by regulatory legal act of authorized body;

14) cases when the uslugopoluchatel - the financial organization is not subject to supervision on the consolidated basis in the country of the location;

15) impossibility of carrying out the consolidated supervision of banking conglomerate because the legislation of the countries of finding of members of banking conglomerate - nonresidents of the Republic of Kazakhstan makes impossible accomplishment by them and banking conglomerate of the requirements provided by the laws of the Republic of Kazakhstan;

16) availability of the bases for refusal in issue of permission to opening of bank.

If person wishing to acquire the status of bank holding creates or acquires the affiliated financial organization or acquires considerable equity participation of the financial organization, by consideration by authorized body of the submitted documents the refusal bases, stipulated in Item the 6th article 11-1 of the Law on banks are considered. In the presence of the refusal bases in issue of permission to creation (acquisition) of the affiliated organization, considerable participation in the authorized capital of the organizations the authorized body refuses issue of consent to acquisition of the status of bank holding or the large member of bank.";

Data on the income and property, and also information on the available debt on all obligations of uslugopoluchatel according to appendix 3 to state in edition according to appendix 5 to this resolution;

in the standard of the state service "Issue of Consent to Acquisition of the Status of Insurance Holding or Large Member of the Insurance (Reinsurance) Organization" approved according to appendix 10 to the specified resolution:

"7. The state service is rendered on paid basis. The rate of charge when rendering the state service for physical persons and legal entities constitutes 50 (fifty) monthly settlement indicators.

6) uslugopoluchatel - the physical persons wishing to acquire the status of the large member of the insurance (reinsurance) organization from shares of ownership of 25 (twenty five) or more percent placed (less exclusive and redeemed by the insurance (reinsurance) organization) shares, and also the uslugopoluchateli-legal entities wishing to acquire the status of insurance holding in addition to the documents and data specified in article 26 of the Law submit the documents specified in Item 18 of this standard of the state service (in the form of electronic documents) which are attached to electronic request;

7) if uslugopoluchatel - the physical person began to correspond to signs of the large member of the insurance (reinsurance) organization without receipt of the prior written consent of authorized body based on the gift agreement, in case of submission to them of the statement for acquisition of the corresponding status, the documents specified in Item 19 of this standard of the state service (in the form of electronic copies of documents in the PDF format) which are attached to electronic request are in addition submitted;

8) the uslugopoluchatel (resident of the Republic of Kazakhstan), the person interested to receive the status of insurance holding, in addition to the documents and data provided by Items 9-1, 10, 18 and 20 these standards of the state service submits the documents specified in Item 21 of this standard of the state service (in the form of electronic copies of documents in the PDF format) which are attached to electronic request.

the analysis of financial effects of acquisition by uslugopoluchatel of the status of the large member of bank assumes deterioration in financial condition of uslugopoluchatel;

the property value of uslugopoluchatel (less obligations of uslugopoluchatel) is insufficient for share acquisition of the insurance (reinsurance) organization;

other bases testimonial of availability of unstable financial position of uslugopoluchatel and (or) possibility of causing damage of the insurance (reinsurance) organization and (or) to its clients;";

14) to state the subitem in the following edition:

"14) cases when the uslugopoluchatel was or is large participant earlier - physical person or the first head of the large member of the legal entity of the financial organization and (or) the leading employee of the financial organization during the period no more than 1 (one) prior to adoption by authorized body of the decision on reference of bank to category of insolvent banks, about preservation of the insurance (reinsurance) organization, the forced redemption of its shares, deprivation of the license of the financial organization, and also about involuntary liquidation of the financial organization or recognition by her bankrupt in the procedure established by legal acts of the Republic of Kazakhstan.
