About approval of Rules of introduction of records about the rights to the company as property complex and transactions with it in the Unified State Register of Rights on real estate and transactions with it and interaction between Federal registration Service and its territorial authorities

According to the Federal Law of July 21, 1997 "About state registration of the rights to real estate and transactions with it" (in edition of the Federal Law of August 22, 2004 No. 122-FZ "About modification of legal acts of the Russian Federation and recognition voided some legal acts of the Russian Federation in connection with adoption of the Federal Laws "About modification and amendments in the Federal Law "About the General Principles of the Organization of Legislative (Representative) and Executive Bodies of the Government of Subjects of the Russian Federation" and "About the General Principles of the Organization of Local Self-government in the Russian Federation") I order to No. 122-FZ:

1. Approve the enclosed Rules of introduction of records about the rights to the company as property complex and transactions with it in the Unified State Register of Rights on real estate and transactions with it and interaction between Federal registration Service and its territorial authorities.

2. Recommend to Federal registration Service to determine the procedure of transfer of cases of documents of title and Sections of the Unified State Register of Rights on real estate and the transactions with it opened by organizations of justice on state registration of the rights to real estate and transactions with it in 1998 - 2004 on the companies as property complexes.

Rules of introduction of records about the rights to the company as property complex and transactions with it in the Unified State Register of Rights on real estate and transactions with it and interaction between Federal registration Service and its territorial authorities

I. General provisions

1. Rules of introduction of records about the rights to the company as property complex and transactions with it in the Unified State Register of Rights on real estate and transactions with it and interaction between Federal registration Service and its territorial authorities (further - Rules) are developed on the basis and according to the Civil code of the Russian Federation * (1) (further - the Code), the Federal Law of July 21, 1997 No. 122-FZ "About state registration of the rights to real estate and transactions with it" * (2) (далееЗакон), the order of the Government of the Russian Federation of February 18, 1998 No. 219 "About approval of Rules of maintaining the Unified State Register of Rights on real estate and transactions with it" * (3) (further - Rules of maintaining EGRP).

Rules establish procedure for introduction of records about the rights to the company as property complex (further - the company) and transactions with it in the Unified State Register of Rights on real estate and transactions with it (further - EGRP), and also order of interaction of Federal registration Service (further - Service) and the territorial authorities of Federal registration Service operating within registration districts in the territory of which there are real estate units which are part of the company (daleeterritorialny bodies of Service) when implementing state registration of the rights, restrictions (encumbrance) of the rights to the company and transactions with it.

2. State registration of the rights, restrictions (encumbrance) of the rights to the company and transactions with it are performed by Service (Item 1 of article 9 of the Law).

State registration of availability and transition of the right to the company in general and transactions with it is carried out in case of need transaction concerning the company (Item 2 of article 22 of the Law).

3. The rights to the parcels of land and other real estate units which are part of the company, their restriction (encumbrance) of the transaction with these real estate units are subject to state registration of Service by territorial authorities in the location of these objects according to the procedure, established by the Law (Item 1 of Article 9, Item 1 of article 22 of the Law).

The rights, restrictions (encumbrance) of the rights to the companies which are part the real estate units located in the territory of more than one registration district of the transaction with these real estate units are subject to state registration by Service (Item 1 of article 9 of the Law) according to the procedure, established by the Law.

4. Proceeding from provisions of Item 1 of Article 4, of Item 2 of Article 6, of Item 2 of Article 13, considering provisions of paragraph two of Item 2 of article 22 of the Law, is subject to obligatory state registration:

the right to the real estate unit which is part of the company on which documents of title are processed after enforcement of the Law;

the right to this real estate unit which arose before enforcement of the Law, when carrying out state registration of the arisen after enforcement of the Law of transition of this right to the company, its restriction (encumbrance) or the transaction, committed after enforcement of the Law, with the company.

5. The right registered by Service, restriction (encumbrance) of the right to the company is the basis for introduction of Service by territorial authority in the location of the real estate object which is part of this company in EGRP of records about transition of the right, restriction (encumbrance) of the right to this real estate unit (Item 2 of article 22 of the Law).

II. Entering into EGRP of records about state registration of the right, restriction (encumbrance) of the right to the company and transactions with it, the certificate of the carried-out state registration of the right to the company, transactions with it

6. In case of state registration of the right, restriction (encumbrance) of the right to the company, transactions with it each leaf of the Section EGRP is identified by the conditional number assigned by Service according to the procedure, established by the Instruction about procedure for assignment when carrying out state registration of the rights to real estate and transactions with it to real estate units of conditional numbers to which in the procedure established by the legislation of the Russian Federation cadastral number is not assigned approved by the order of the Ministry of Justice of the Russian Federation of December 8, 2004 No. 192 "About approval of the Instruction about procedure for assignment when carrying out state registration of the rights to real estate and transactions with it to real estate units of conditional numbers to which in the procedure established by the legislation of the Russian Federation cadastral number" * is not assigned (4).

7. The description of the company is performed in the subsection I-5 of the Section EGRP created for the company.

In leaf of record of the subsection I-5 EGRP are specified:

1) in the column "Address (Location)":

in case of state registration of the transaction about alienation of the company and transition of the right to it - the address of the actual location of the legal entity or the address of the permanent residence or preferential stay of the individual entrepreneur acquiring this company (Item 28 of Rules of maintaining EGRP);

in case of state registration of the lease agreement, agreement on mortgage and other restriction (encumbrance) of the right to the company - the address of the actual location of the legal entity or the address of the permanent residence or preferential stay of the individual entrepreneur who is the owner of the company (Item 28 of Rules of maintaining EGRP);

if specified persons are registered (live) in the territory of foreign state, the address of the actual location of the legal entity or the address of the permanent residence or preferential stay of the individual predprinimatelyauchastnik of the transaction (agreement party) registered (living) in the territory of the Russian Federation is specified if other is not provided by the international treaty of the Russian Federation (Item 28 of Rules of maintaining EGRP);

2) in the column "Appointment" - main type of business activity for which implementation the company is used. If it is impossible to determine unambiguously appointment, it is specified: "Implementation of business activity" (Item 30 of Rules of maintaining EGRP);

3) in the column "Name" - full name of the legal entity, surname, name, middle name of individual predprinimatelyapravoobladatel of the company (Item 35-1 of Rules of maintaining EGRP);

4) in the column "Structure":

data on the real estate units which are part of the company according to Items 25-35 of Rules of maintaining EGRP (Item 35-2 of Rules of maintaining EGRP);

the name of the right, data on the respective real estate units, and also the name and details of documents of title based on which at the owner of the company these rights arose if the structure of the company includes the rights to real estate units (for example, the lease right) (Item 35-2 of Rules of maintaining EGRP);

the words "Real Estate Units Are Absent" (if as a part of the company there are no real estate units and the rights to real estate units) (Item 35-2 of Rules of maintaining EGRP);

5) in the column "Cost" - the cost of the company based on the documents certifying structure and cost of the company (Item 35-3 of Rules of maintaining EGRP);

6) in the column "Reference documents" - the documents certifying structure of the company and its cost, including the inventory report, the balance sheet, the conclusion of the independent auditor about structure and cost of the company (Item 35-4 of Rules of maintaining EGRP);

7) in the column "Special Marks of the Registrar" - the data characterizing the company, which are not included in other records of this subsection, including data on availability as a part of the company of real estate units, the rights to which, in restriction (encumbrance) of the rights for which and the transaction with which are subject to state registration according to the procedure, established by the relevant Federal Laws (Item 35-5 of Rules of maintaining EGRP).

8. If during state registration of transition of the right to the companies based on the data containing in the transfer act (Item 1 of article 563 of the Code) it is determined that from the moment of carrying out state registration of the purchase and sale agreement of the company in its structure there were changes, corresponding changes are made to the subsection I-5 EGRP by means of filling of leaf of record about changes (the Section VII of Rules of maintaining EGRP).

9. Filling of subsections II and III EGRP is performed according to the procedure, EGRP established by Rules of maintaining.

10. The Section EGRP opened on the company is closed in case of the termination of the company (for example, in case of liquidation of pravoobladatelyayuridichesky person).

Details of documents based on which there is closing of the Section are entered in the column "Record about Liquidation (Transformation) of Object". On the face of leaf the stamp about liquidation of object (Item 36 of Rules of maintaining EGRP) is put down.

11. The carried-out state registration of the right to the company for the petition of the owner makes sure the certificate on state registration of the right (Item 1 of article 14 of the Law).

The certificate on state registration of the right is filled in according to the Section I of the Instruction on procedure for filling and issue of certificates on state registration of the rights, messages on refusals in state registration of the rights to real estate and transactions with it and information on the registered rights approved by the order of the Ministry of Justice of the Russian Federation of 18.09.2003 No. 226 * (5) (further - the Instruction).

At the same time:

in the column "Right Object" of the certificate on state registration of the right data on the company according to Items 28, of 30, of 35-1 and 35-3 Rules of maintaining EGRP are specified;

the list of the real estate units and (or) the rights to real estate units which are part of the company (in the presence) (the information about them from the column "Structure" of the subsection I-5 EGRP according to Item 35-2 of Rules of maintaining EGRP), is located on the back of the certificate on state registration of the right after words: "Are part of the company:".

The carried-out state registration of transition of the right to the company based on the transaction about its alienation also makes sure by means of putting down of stamp of registration text on documents (Items 77 and 79 of Rules of maintaining EGRP) on authentic copy of the document which is expressing contents of the transaction, being subject later carrying out to state registration of the right issue to person which acquired the company.

12. The carried-out state registration of the transaction with the company makes sure by means of putting down of stamp of registration text on documents (Item 1 of article 14 of the Law, Items 77 and 78 of Rules of maintaining EGRP) on authentic copies of the document which is expressing contents of the transaction which are subject after carrying out to state registration of the transaction issue of this transaction to the parties.

13. In case of the subsequent address of the owner of the company with statements for state registration of the transaction with the company, transition of the right to it or restriction (encumbrance) of the right to the company Service:

1) performs the actions provided by the Section III of these rules;

2) enters urgent data on the company (about the description of the company) in new leaf of record of the subsection I-5 EGRP with indication of in the column "Conditional Number" of this leaf of the conditional number specified in the similar column of repayable record of the subsection I-5 EGRP;

3) settles the previous records in the subsection I-5 EGRP, and also in the sheets of record about changes attached to it (in the presence of those) by putting down of stamp of repayment of registration record on them with indication of in it:

after the words "in subsection" - the subsection I-5 EGRP;

after the words "on leaf" - numbers of new leaf of record of the subsection I-5 EGRP;

dates of filling of new leaf of record of the subsection I-5 EGRP.

III. Order of interaction of Service and territorial authorities of Service when implementing state registration of the rights, restrictions (encumbrance) of the rights to the company, transactions with it

14. After reception of an application about state registration of the right, restriction (encumbrance) of the right to the company, transactions with it in all Sections EGRP opened on the companies which are part real estate objects records about availability of right claims are made for the purpose of what the Service no later than the next working day from the date of documents acceptance on state registration of the right, restriction (encumbrance) of the right to the company, the transaction with it sends to territorial authority of Service the message (the appendix No. 1) containing:

1) the data on adoption of documents necessary for introduction of record about right claim (date and number of registration of the adopted statement in the book of accounting of incoming documents; the name, the address, cadastral or conditional number of the real estate unit which is part of the company; stipulated in Item 18 Rules of maintaining EGRP of the information about the owner of the company; type of the right, the transaction, restriction (encumbrance) of the right for which registration the applicant petitions);

2) the request about availability of the registered rights, restrictions (encumbrance) of the rights to object which is part of the company about availability of the decisions (resolutions, determinations) on seizure of these real estate objects which arrived in territorial authority of Service or prohibition to make with them certain actions, including registration actions, about availability in EGRP of urgent records about right claims concerning this object, and also about the rights to claim declared judicially on the specified object.

The message is filled in on the official form of Service, makes sure the signature of the state registrar and is sealed Services.

The reference number which is put down on the message consists of number of the book of accounting of incoming documents in which the Service registered the statement for state registration of the right, restriction (encumbrance) of the rights to the company, transactions with it, and serial in the called book of number of the application submitted on state registration.

The copy of the message is located with Service to documents of title.

15. The territorial authority of Service on receipt of the message of Service registers it in the book of accounting of the issued information on the registered rights and makes record about right claim in the column "Special Marks of the Registrar" of the subsection II-1 of the Section EGRP opened on the real estate unit which is part of the company namely:

1) words "Statement for registration... (the type of the right, the transaction or restriction (encumbrance) of the right) the company (companies)" (for example, "Statements for state registration of the property right to the company and lease contracts of the company" is specified);

2) number of the book of accounting of incoming documents, sequence number of entry in this book and date of acceptance by Service of the statement for state registration.

The message of Service is located with territorial authority of Service in the corresponding case of documents of title.

16. The territorial authority of Service no later than the next working day from the moment of receipt of request of Service sends to Service the statement from EGRP (appendix No. 2), containing data on the registered rights to the real estate object which is part of the company, restrictions (encumbrances) of the rights to it, on availability of right claims and rights to claim declared judicially.

If by the time of preparation of the statement from EGRP by the territorial authority of Service registered the agreement on alienation of the real estate unit, but in EGRP there is no record about state registration of transition of the right to it in connection with non-presentation by agreement parties of the corresponding statements and other documents necessary for carrying out state registration of transition of the right, suspension, the termination of state registration of transition of the right, refusal in its carrying out, these data are also subject to inclusion in the statement from EGRP.

If by the time of preparation of the statement from EGRP in territorial authority of Service the decision (the resolution, determination) on seizure of the real estate object which is part of the company, or prohibition to make with it certain actions, including registration actions, record about which is not made in EGRP, arrives, the territorial authority of Service attaches to the statement from EGRP the copy of the called decision (the resolution, determination).

If after the direction territorial authority of Service of the statement from EGRP the decision (the resolution, determination) on seizure of the real estate object which is part of the company, on prohibition to make certain actions with this object, including registration actions, territorial authority of Service no later than the next working day from the moment of receipt of the specified decision (the resolution, determination) arrived sends its copy to Service.

The statement from EGRP is filled in on the official form of territorial authority of Service, makes sure the signature of the state registrar and is sealed territorial authority of Service.

The reference number which is put down on the statement from EGRP consists of number of the book of accounting of the issued information on the registered rights in which the message of Service, and serial in the called book of number of the arrived message according to which the statement is issued was registered.

The service registers the received statements in the book of accounting of incoming documents and places them to documents of title.

17. The service no later than the next working day from the moment of carrying out state registration of transition of the right, restriction (encumbrance) of the right to the company, the transaction with it sends to territorial authority of Service the statement from EGRP (appendix No. 3) based on which territorial authority of Service:

1) introduces the words "It Is Included in Structure of the Company" in the column "Special Marks of the Registrar" of subsection I of the Section EGRP opened on the real estate unit which is part of the company;

2) when carrying out by Service state registration of transition of the right to the company to the subsection II-1 EGRP makes record about transition of the right to real estate object;

3) when carrying out state registration by Service of restriction (encumbrance) the right, the agreement based on which there was restriction (encumbrance) of the right to the company makes record about restriction (encumbrance) of the right to the real estate unit in subsection III EGRP (for example, in case of state registration by Service of the lease agreement of the company or the agreement on mortgage of the company, the mortgage of the company which arose based on the law, record about lease is made in the subsection III-1 EGRP, and record about mortgage - in the subsection III-2 EGRP).

The statement from EGRP is filled in on the official form of Service, makes sure the signature of the state registrar and is sealed Services.

The reference number which is put down on the statement from EGRP consists of number of the book of accounting of incoming documents in which the Service registered the statement for state registration of the right, restriction (encumbrance) of the rights to the company, transactions with it, and serial in the called book of number of the application submitted on state registration.

18. When entering of Service by territorial authority into EGRP of records about transition of the right or restriction (encumbrance) of the right to the company in the corresponding leaf of record of the subsection II-1 or subsection III EGRP including are specified:

1) in the column "Number of Registration" - number of state registration by Service of transition of the right or restriction (encumbrance) of the right to the company;

2) in the column "Reference documents" - details of the document based on which the Service registers transition of the right or restriction (encumbrance) of the right to the company if such document is the registered agreement - also date and number of its state registration;

3) in the column "Date" - date of state registration by Service of transition of the right or restriction (encumbrance) of the right to the company;

4) in the column "Special Marks of the Registrar" - details (date and number) of the statement from EGRP which arrived from Service.

The statement from EGRP which arrived from Service based on which in the subsection II-1 or subsection III EGRP records about the right to the real estate unit of the acquirer of the company, restriction (encumbrance) of the right of the owner of the company are made is located with territorial authority of Service in the corresponding case of documents of title.

19. In case of decision making about the termination of state registration, refusal in state registration of the right, restriction (обремения#) of the right to the company, transactions with it the Service no later than the next working day from the moment of the direction to the applicant of the termination letter of state registration or the message on refusal in state registration sends to territorial authorities of Service the copy of the specified notification or the message certified properly based on which the territorial authority of Service in the column "Special Marks of the Registrar" of the subsection II-1 EGRP settles record about right claim.

The copy of the notification (message) which arrived from Service is located with territorial authority of Service in the corresponding case of documents of title.

20. The territorial authority of Service which performed afterwards state registration of transition of the right to the real estate object which is part of the company no later than the next working day from the moment of carrying out state registration sends to Service the statement from EGRP (appendix No. 4). The service on receipt of the specified statement from EGRP registers it in the book of accounting of incoming documents.

Based on the Service of the statement which arrived from territorial authority from EGRP about transition of the right to the real estate unit which is part of the company, the Service fills in the sheet of record about changes in which are specified:

1) in the column "Content of Changes" - the words "Transition of the Right Is Registered on", further the name, the address (location), cadastral or conditional number of the real estate unit;

2) in the column "Reference documents" - the name and details of the title document based on which transition of the right to the real estate unit, and also date and number of state registration by territorial authority of Service of transition of the right to the real estate unit is registered;

3) in the column "Special Marks of the Registrar" - statement details from EGRP which arrived from territorial authority of Service;

4) in the column "Date" - date of filling and signing of this leaf by the state registrar.

The completed sheet of record about changes is attached to the subsection I-5 of appropriate section of EGRP.

The statement from EGRP which arrived from territorial authority of Service is located with Service in the corresponding case of documents of title.

The service in time no more than three days from the date of modification of EGRP notifies the owner on the made changes in EGRP. The notification is filled in on the official form of Service and signed by the state registrar with indication of its surname and initials. The reference number on the notification consists of number of the book of accounting of incoming documents in which the statement which arrived according to this Item from EGRP, and sequence number of record about this statement in this book is registered.

21. In case of the termination of the company as object of the right and closing of appropriate section of EGRP with Service during the next working day from the moment of making of the specified action the statement from EGRP goes to territorial authority of Service (appendix No. 5) based on which the territorial authority of Service settles in the column "Special Marks of the Registrar" of subsection I EGRP record about finding of the real estate unit as a part of the company.

Record about finding of the real estate unit as a part of the company is also settled by territorial authority of Service when carrying out state registration of transition from the owner of the company of the right to this object to the other person (not as a part of the company).
