About features of regulation of the corporate relations in the economic societies which are economically significant organizations

Article 1. Purposes and subject of regulation of this Federal Law

1. This Federal Law for the purpose of protection of the rights and legitimate interests of citizens of the Russian Federation and the Russian legal entities, ensuring defense of the country and safety of the state in the conditions of the unfriendly and contradicting international law actions of the United States of America and the foreign states and the international organizations which adjoined them establishes withdrawals of restrictive nature for foreign holding companies when implementing of corporate laws by them concerning economically significant organizations, determines conditions and procedure for the introduction of persons indirectly holding shares (shares in the authorized capital) of economically significant organizations belonging to foreign holding company in immediate possession by such shares (shares in the authorized capital) and also establishes features of acquisition by economically significant organizations of the public status.

2. The withdrawals of restrictive nature established by this Federal Law are not directed to unreasonable infringement of the rights and legitimate interests of foreign holding companies, their participants (shareholders) and other persons.

Article 2. Economically significant organizations

1. Economically significant organization for the purposes of this Federal Law is understood as the having essential value for ensuring economic sovereignty and economic safety of the Russian Federation the Russian economic society included in the list of economically significant organizations approved by the Government of the Russian Federation and meeting at the same time following conditions:

1) economic society corresponds to one or several of the following criteria:

a) the total total revenue of economic society and other Russian legal entities entering with this economic society one group of persons which is determined according to provisions of the Federal Law of July 26, 2006 No. 135-FZ "About protection of the competition" (further - group of persons), according to the financial reporting for the last complete accounting year exceeds seventy five billion rubles or total revenue of the economic society provided by the subitem "z" of Item 2 of this part, exceeds ten billion rubles;

b) the number of employees of economic society and other Russian legal entities entering with this economic society one group of persons makes more than four thousand people, and the economic society or its subsidiaries provided by the subitem "zh" of Item 2 of this part, more than five hundred people;

c) the total asset cost of economic society and other Russian legal entities entering with this economic society one group of persons according to the financial reporting for the last complete accounting year exceeds hundred fifty billion rubles;

d) the amount of taxes (charges) of economic society and other Russian legal entities entering with this economic society one group of persons, paid to budgets of budget system of the Russian Federation for prior calendar year constitutes at least ten billion rubles;

e) aggregate value of the property which is in trust management of the economic society or other Russian legal entity entering with this economic society one group of persons according to the financial reporting for the last complete accounting period exceeds four hundred billion rubles, and the number of clients of economic society or such legal entity who signed trust management agreements according to the specified reporting makes at least three hundred thousand (provided that economic society or such legal entity is the professional participant of the security market provided by the subitem "e" of Item 2 of this part);

e) the number of users of the services and services provided including by means of the Internet the economic society and other Russian legal entities entering with this economic society one group of persons makes more than two million people;

2) economic society corresponds at least to one of the following criteria:

a) as of February 1, 2022 economic society or its subsidiary is the subject of critical information infrastructure determined according to the Federal Law of July 26, 2017 No. 187-FZ "About safety of critical information infrastructure of the Russian Federation";

b) as of February 1, 2022 economic society or its subsidiary is the city-forming organization having significant effect on development of the region;

c) economic society or its subsidiary implements technologies and (or) the software for socially significant services and services and (or) renders services in the field of information technologies or communication;

d) economic society or its subsidiary participates in creation and upgrade of high-productive and (or) highly paid workplaces;

e) economic society or its subsidiary is systemically significant credit institution;

e) the economic society or other Russian legal entity entering with this economic society one group of persons is the professional participant of the security market performing activities for management of securities according to the Federal Law of April 22, 1996 No. 39-FZ "About the security market" and has significant effect on ensuring stability and development of the financial market of the Russian Federation (provided that economic society or such legal entity at the same time corresponds to the criterion provided by the subitem "d" of Item 1 of this part);

g) economic society or its subsidiary has rights (license) for use of natural resources in the territory of the Russian Federation, except for production of popular minerals (provided that such economic society or its subsidiary at the same time corresponds to the criterion provided by the subitem "b" of Item 1 of this part);

h) economic society is included in the summary register of the organizations of defense industry complex created according to part 2 of article 21 of the Federal Law of December 31, 2014 No. 488-FZ "About industrial policy in the Russian Federation" (provided that economic society at the same time corresponds to the criterion provided by the subitem "an" of Item 1 of this part);

3) the share of direct and (or) indirect participation of persons specified in Item 1 of part 1 of article 7 of this Federal Law in foreign holding company constitutes at least than 50 percent, or at least than 30 percent if at the last meeting (meeting) of the supreme body of management of foreign holding company preceding inclusion of economic society in the list of economically significant organizations approved by the Government of the Russian Federation, such faces had opportunity to determine the decision of the supreme body of management of foreign holding company, or at least than 20 percent if at the same time to shareholders (participants) of the relevant foreign holding company whose share of participation directly and (or) indirectly separately or in total in the capital of the relevant foreign holding company constitutes at least than 20 percent, or to the significant organization most relevant economically the United States of America and the foreign states and the international organizations which adjoined them apply rationing arrangements of the blocking nature.

2. The decision on inclusion of economic society in the list of economically significant organizations is made by the Government of the Russian Federation according to the offer of the federal executive body performing normative legal regulation in the field of activities (economy industry) to which the main type of economic activity of such economic society is carried. The decision on inclusion of economic society in the list of economically significant organizations is not subject to appeal in court or Arbitration Court.

3. Access to data on inclusion of economic society to the list of economically significant organizations can be limited by the decision of the Government of the Russian Federation. In this case conditions and procedure for access to the specified data are determined by the Government of the Russian Federation.

4. For goal achievement, the stipulated in Article 1 present of the Federal Law, the Russian economic society which is affiliated in relation to other Russian economic society included earlier in this list in case of simultaneous observance of the following conditions can be included in the list of economically significant organizations by the Government of the Russian Federation:

1) the Russian economic society (without the Russian legal entities entering with this economic society one group of persons or being its subsidiaries) meets the conditions provided by Items 1 and 2 of part of 1 this Article;
