About approval of the Regulations on self-regulatory organizations of professional participants of the capital markets and Changes in licensed conditions of implementation of professional activity in the capital markets

According to Item 8 parts two of Article 2, Item of 1 part one of article 7 of the Law of Ukraine "About state regulation of the capital markets and the organized goods markets", the paragraph of the thirteenth of part two of Article 4, Article parts one 139, articles 143-144-7 of the Law of Ukraine "About the capital markets and the organized goods markets" the National commission on securities and the stock market

SOLVED:

1. Approve enclosed:

Regulations on self-regulatory organizations of professional participants of the capital markets;

Changes in Licensed conditions of implementation of professional activity in the capital markets (further - Changes).

2. Recognize to invalid:

the decision of the National commission on securities and the stock market of December 27, 2012 No. 1925 "About approval of the Regulations on consolidation of professional participants of the stock market", registered in the Ministry of Justice of Ukraine on January 25, 2013 at No. 182/22714 (with changes);

the decision of the National commission on securities and the stock market of November 26, 2013 No. 2670 "About approval of the Procedure for consideration of the applications of self-regulatory organizations of professional participants of the stock market about authority delegation to self-regulatory organizations of professional participants of the stock market and decision making", registered in the Ministry of Justice of Ukraine on January 27, 2014 at No. 170/24947 (with changes).

3. The self-regulatory organizations of professional participants of the capital markets having the certificate on provision of the status of self-regulatory organization of professional participants of the capital markets existing for January 01, 2026 shall bring during 2026 the internal documents and activities into compliance with requirements of the Law of Ukraine "About the capital markets and the organized goods markets" and to receive the Certificate on inclusion of consolidation of professional participants of the capital markets in the Register of self-regulatory organizations of professional participants of the capital markets according to requirements and according to the procedure, 144 Laws of Ukraine provided by Articles 143, "About the capital markets and the organized goods markets".

4. After reduction of activities in compliance with requirements of the Law of Ukraine "About the capital markets and the organized goods markets" and in 3 months from the date of entry into force of the resolution of the National commission on securities and the stock market about approval of internal documents of self-regulatory organization of professional participants of the capital markets specified in Item 3:

The national commission on securities and the stock market stops implementation of power on establishment of procedure for certification of heads of professional participants of the capital markets who are members of such self-regulatory organization of professional participants of the capital markets;

the self-regulatory organization of professional participants of the capital markets begins to perform powers on establishment of procedure for certification of heads of professional participants of the capital markets who are members of such organization.

5. Determine that the certificate on provision of the status of self-regulatory organization of professional participants of the capital markets by the corresponding type of professional activity granted before entry into force of this decision and existing as of January 01, 2026 is considered renewed on the certificate on inclusion of consolidation of professional participants of the capital markets in the Register of self-regulatory organizations of professional participants of the capital markets.

The registration certificates of consolidation of professional participants of the capital markets granted before entry into force of this decision respond since January 01, 2026.

6. Not reduction of professional participants of the capital markets by self-regulatory organization till January 01, 2027 of internal documents and activities according to Item 3 of this decision, is the basis for exception of such self-regulatory organization of professional participants of the capital markets of the Register of self-regulatory organizations of professional participants of the capital markets and withdrawal of the Certificate on inclusion of consolidation of professional participants of the capital markets in the Register of self-regulatory organizations of professional participants of the capital markets.

7. To provide to department of methodology submission of this decision on state registration in the Ministry of Justice of Ukraine.

8. To provide to management of administrative activities promulgation of this decision on the official website of the National commission on securities and the stock market.

9. Department of legal development, after state registration of the decision by the Ministry of Justice of Ukraine to provide promulgation of this decision on the official website of the National commission on securities and the stock market.

10. This decision becomes effective since January 01, 2026, but not earlier than the day following behind day of its official publication.

11. Control over the implementation of this decision to assign to the member of the National commission on securities and the stock market M. Libanov.

Regulations on self-regulatory organizations of professional participants of the capital markets

I. General provisions

1. This Provision establishes the main requirements to Consolidation of professional participants of the capital markets (further - Consolidation) for acquisition by it of the status self-regulated the organizations of professional participants of the capital markets (further - SRO), procedure for acquisition by Consolidation and deprivations of the status of SRO, procedure for delegation of SRO and return by the National commission on securities and the stock market (further - the Commission) additional power(s), accomplishment of SRO of additional power(s), and also procedure for maintaining the Register of self-regulatory organizations of professional participants of the capital markets (further - the Register of SRO).

2. In this Provision terms are used in the following values:

1) accomplishment of function on certification - accomplishment of function of the methodical center in the capital markets and the organized goods markets determined by Chapter 9 of the Section IV of the Provisions on procedure for certification of specialists in questions of the capital markets and the organized goods markets approved by the decision of the National commission on securities and the stock market of June 25, 2020 No. 319, registered in the Ministry of Justice of Ukraine on September 10, 2020 at No. 868/35151 (further - Regulations on certification);

2) internal documents - The charter of Consolidation, Edited (standards) of professional activity in the capital markets, the code of professional ethics, internal regulations and other internal documents which, including, determine procedure for functioning of Consolidation, procedure for accomplishment of powers of SRO according to the charter and the legislation on the capital markets;

3) the deputy manager - the deputy (i) head of sole executive body of Consolidation or members of collegiate executive body of Consolidation;

4) applicant - Consolidation which submits the application for inclusion in the Register of SRO and the relevant documents to the Commission or about approval of internal documents;

5) the head - the head of sole executive body of Consolidation, or the chairman of collegiate executive body of Consolidation;
