About approval of the Regulations on procedure for state registration of legal entities, branches and representations

1. Approve Regulations on procedure for state registration of legal entities, branches and representations according to appendix.

2. Determine that:

1) the legal entities, branches and representations registered (re-registered) till January 1, 1997 and not included in the Unified State Register of Legal Entities, branches and representations shall pass the state re-registration or registration of the termination of activities in accordance with the established procedure till January 1, 2027;

2) the legal entities, branches and representations which underwent state registration in accordance with the established procedure till March 1, 2026 till August 1, 2026 shall provide in registering body the information necessary for identification and registration of beneficial owners, according to the Regulations on procedure for state registration of legal entities, branches and representations approved by Item 1 of this resolution.

3. To National Statistical Committee of the Kyrgyz Republic to initiate the procedure of involuntary liquidation of the legal entities, branches and representations registered (re-registered) till January 1, 1997 and not included in the state register.

4. To the Ministry of Justice of the Kyrgyz Republic in accordance with the established procedure to take the necessary measures following from this resolution.

5. Recognize invalid:

1) the resolution of the Cabinet of Ministers of the Kyrgyz Republic "About approval of the Regulations on procedure for state registration of legal entities, branches (representations)" of March 31, 2023 No. 178;

2) the resolution of the Cabinet of Ministers of the Kyrgyz Republic "About approval of the Procedure for state registration (re-registration) and registration of the termination of activities of legal entities, branches (representations) electronically" of February 16, 2024 No. 58.

6. To impose control of execution of this resolution on management of control of execution of decisions of the President and the Presidential Administration Cabinet of Ministers of the Kyrgyz Republic.

7. This resolution becomes effective after seven days from the date of official publication.

Regulations on procedure for state registration of legal entities, branches and representations

Chapter 1. General provisions

1. This Regulations on procedure for state registration of legal entities, branches and representations (further - the Provision) govern the relations arising in case of state registration, re-registration and registration of the termination of activities of legal entities, branches and representations and also entering of data into the Unified State Register of Legal Entities, branches and representations (further - the state register) in the territory of the Kyrgyz Republic.

2. State registration, re-registration, registration of the termination of activities of legal entities, branches and representations (further - registration) represents action of authorized state body in the field of state registration, re-registration and registration of the termination of activities of legal entities, branches and representations, and also mass media (further - authorized body), and its territorial authorities (further - registering body), performed by means of entering into the state register of data on creation, re-registration and the termination of activities of legal entities, branches and representations, and also other data provided by this Provision.

3. The legal basis of order of registration of legal entities, branches and representations are the Constitution of the Kyrgyz Republic, the Civil code of the Kyrgyz Republic, regulatory legal acts of the Kyrgyz Republic in the field of legal entities, branches and representations and also which came in the procedure established by the law into force the international agreements which participant is the Kyrgyz Republic.

4. Registration, according to this Provision, are subject all legal entities, branches and representations, except as specified, when the legislation of the Kyrgyz Republic for these or those legal entities, branches and representations provides other order of registration.

5. Registration is performed for the purpose of:

- accounting of the legal entities registered, re-registered and stopped activities, branches and representations;

- maintaining the state register;

- provisions to the interested physical persons and legal entities of information on the legal entities registered, re-registered and stopped activities, branches and representations.

6. Registration of legal entities, branches and representations is performed by authorized body and its territorial authorities.

Registration of legal entities, branches and representations is made by registering body regardless of legal address, except for political parties.

Registration of political parties is made by authorized body.

7. Registration of legal entities, branches and representations in the Kyrgyz Republic has declarative character if other is not established by the legislation of the Kyrgyz Republic.

Chapter 2. General order of registration of legal entities, branches and representations

8. In case of registration of legal entities, branches and representations documents are submitted by the applicant to registering body.

Registration of legal entities, branches and representations can be made in digital form.

The order of registration of legal entities, branches and representations in digital form is determined by registering body.

9. The following persons can act as applicants:

- the founder (participant) in case of registration of the legal entity;

- head of executive body of the legal entity, branch and representation;

- the head of liquidation commission (liquidator) in case of registration of the termination of activities of the legal entity;

- the other person who is acting on the basis of the power of attorney.

10. The applicant before submission of documents on registration independently performs check of expected trade name on identity and similarity to earlier registered names by means of the open state register posted on the official site of registering body.

In case of establishment of lack of identity and similarity of trade name of the legal entity, branch and representation the applicant can perform reservation of trade name.

The procedure for reservation of trade name of legal entities, branches and representations is determined by authorized body.

Legal entities, branches and representations shall use in the trade name in the state and official languages respectively only letters of the Kyrgyz and Russian alphabets, and in English - letters of the Latin alphabet.

The trade name of the legal entity, branch and representation is subject to obligatory registration in the state and official languages. Transfer of trade name into the state and official languages shall be authentic and correspond to its semantic content.

11. The registration application is signed by the applicant. Form and requirements imposed to contents of the registration statement affirm authorized body.
