About questions of registration of legal entities, branches and representations
In pursuance of the Law of the Kyrgyz Republic "About state registration of legal entities, branches (representations)" and further enhancement of system of registration of legal entities, branches (representations), I order:
1. Approve enclosed form of the registration statement (appendix No. 1) and procedure for maintaining the Unified State Register of Legal Entities, branches (representations) (appendix No. 2).
2. Approve the enclosed standard constituent documents of the following commercial organizations:
- standard charter and foundation agreement of limited liability company (appendix No. 3);
- standard charter and foundation agreement of additional liability company (appendix No. 4);
- standard charter and foundation agreement of open joint stock company (appendix No. 5);
- standard charter and foundation agreement of private company (appendix No. 6);
- standard charter of the state company (appendix No. 7);
- standard charter of the utility company (appendix No. 8);
- standard charter of commercial cooperative (appendix No. 9);
- standard charter of peasant economy (appendix No. 10);
- standard foundation agreement of partnership in commendam (appendix No. 11);
- standard foundation agreement of complete partnership (appendix No. 12).
3. Determine that announcements of loss (spoil) and invalidity of the certificate on state registration (re-registration) and of reorganization of joint-stock company shall be published in the Slovo Kyrgyzstana or Erkin Too newspapers.
4. Declare invalid:
- the order of the Ministry of Justice of the Kyrgyz Republic of December 3, 2003 No. 180 "About approval of the Regulations on order of registration of legal entities, branches and representations by bodies of the Ministry of Justice of the Kyrgyz Republic" (it is registered in the Ministry of Justice of the Kyrgyz Republic on December 17, 2003, registration number 116-03);
- the order of the Ministry of Justice of the Kyrgyz Republic of July 29, 2005 No. 77 "About entering of amendments into the Provision "About Order of Registration of Legal Entities, Branches and Representations Bodies of the Ministry of Justice of the Kyrgyz Republic", the Ministry of Justice of the Kyrgyz Republic approved by the order of December 3, 2003 No. 180" (it is registered in the Ministry of Justice of the Kyrgyz Republic on August 1, 2005, registration number 98-05);
- the order of the Ministry of Justice of the Kyrgyz Republic of May 27, 2008 No. 88 "About modification and amendments in the order of the Ministry of Justice of the Kyrgyz Republic of December 3, 2003 No. 180 "About approval of the Regulations on order of registration of legal entities, branches and representations by bodies of the Ministry of Justice of the Kyrgyz Republic" (it is registered in the Ministry of Justice of the Kyrgyz Republic on May 28, 2008, registration number 33-08);
- the order of the Ministry of Justice of the Kyrgyz Republic of June 25, 2008 No. 114 "About modification and amendments in the order of the Ministry of Justice of the Kyrgyz Republic of December 3, 2003 No. 180 "About approval of the Regulations on order of registration of legal entities, branches and representations by bodies of the Ministry of Justice of the Kyrgyz Republic" and the order of the Ministry of Justice of the Kyrgyz Republic of July 25, 2001 No. 112 "About approval of the Regulations on procedure for inclusion in names of legal entities of specifying on the official complete or reduced name of the Kyrgyz Republic" (it is registered in the Ministry of Justice of the Kyrgyz Republic on June 26, 2008, registration number 48-08);
- the order of the Ministry of Justice of the Kyrgyz Republic of January 30, 2009 No. 18 "About introduction of amendments to the order of the Ministry of Justice of the Kyrgyz Republic of December 3, 2003 No. 180 "About approval of the Regulations on order of registration of legal entities, branches and representations by bodies of the Ministry of Justice of the Kyrgyz Republic" (it is registered in the Ministry of Justice of the Kyrgyz Republic on February 3, 2009, registration number 13-09).
5. To management of legal examination to carry out state registration of this order.
6. This order becomes effective after state registration.
7. Publish this order on the state Internet portal of the Kyrgyz Republic.
8. To management of state registration to notify Management of legal examination on source of publication of this order.
9. To management on clerical work and control of execution of documents to bring this order to the attention of chiefs of justice departments of areas, the cities of Bishkek and Osh.
10. To impose control of execution of this order on the deputy minister of justice of the Kyrgyz Republic Mambetaliyeva Zh. Zh.

1. The Unified State Register of Legal Entities, branches (representations) (further - the state register) represents the book containing data about the legal entities registered (re-registered) and stopped activities, branches (representations).
2. Data are entered in the state registers made of high-quality paper and in firm cover. They shall be numbered, strung together, sealed official registering body and are signed by his head or his deputy supervising questions of registration of legal entities, branches and representations.
3. Entry in the state register should be made in the Kyrgyz or Russian languages, accurately, erasures are not allowed. Corrections shall be certified by the signature of person entering records in the register.
4. The state register includes:
- complete, reduced (in case of availability) the name in the state and official languages;
- date and number of the order on registration;
- date of primary state registration;
- legal form and pattern of ownership;
- method of formation of legal entity (creation or reorganization);
- registration number, INN, RCBO code;
- legal address (location);
- phone number and fax, e-mail address;
- information about founders of the legal entity;
- the size of the authorized capital (share fund), the sizes of shares of founders (participants) (except joint-stock companies);
- data that the legal entity is in process of liquidation;
- data on liquidation of the legal entity;
- information about the head;
- the information about the legal entity who created branch (representation);
- note;
- First name, middle initial, last name, the signature of the official making records.
4.1. In the column "Complete, Reduced (in case of Availability) the Name in the State and Official Languages" the name of the legal entity, branch (representation) in the state and official languages with indication of form of business according to constituent documents is specified complete, reduced (in case of availability).
4.2. In the column "Date and Number of the Order on Registration" date and number of the order on state registration (re-registration) and registration of the termination of activities of the legal entity, branch (representation) is specified.
4.3. In the column "Date of Primary State Registration" record about date of primary state registration of the legal entity, branch (representation) is made.
4.4. In the column "Legal Form and Pattern of Ownership" legal form and pattern of ownership of the legal entity is specified.
4.5. In the column "Method of Formation of Legal Entity (Creation or Reorganization)" the method of formation of legal entity (creation or reorganization) is specified.
4.6. In the column "Registration Number, INN, RCBO Code" are specified registration number which is assigned to also archive registration case which is drawn up on everyone the registered (re-registered) legal entity, branch (representation), INN and the RCBO code". In this column date of entering of record into the state register is specified.
4.7. In the column "Legal Address (Location)" record about legal address of the legal entity or the location of branch (representation) is made.
4.8. In the column "Phone Number and Fax, E-mail Address" the phone number and the fax, the e-mail address of the legal entity, branch (representation) is specified.
4.9. In the column "Information about Founders of the Legal Entity" the name(s) and (or) surname(s) and initials of founders of the legal entity according to constituent documents is specified.
4.10. In the column "The Size of the Authorized Capital, the Sizes of Shares of Founders (Participants) (except Joint-stock Companies)" the size of the authorized capital, the sizes of shares of founders (participants) of economic partnerships and societies is specified (except joint-stock companies);
4.11. In the column "Data that the Legal Entity Is in Process of Liquidation" record that the legal entity is in process of liquidation is made.
4.12. In the column "Data on Liquidation of the Legal Entity" information on liquidation of the legal entity, branch (representation) and date and number of the order on activities termination registration is specified.
4.13. In the column "Information about the Head" the surname and initials of the first head according to registration documents is specified.
4.14. In the column "Information about the Legal Entity Who Created Branch (Representation)" full name of the legal entity who created branch (representation) is specified.
4.15. In the column "Note" data on the former name, and also other special marks can be specified.
4.16. In the column "First Name, Middle Initial, Last Name, the Signature of the Official Making Records" the relevant data of person to whose functional duties maintaining the register belongs are specified.
4.17. In case of identification of mistakes in numbering, amending records special marks in the note become.
Person responsible for its maintaining and storage, and officials having the right of check of its activities has access to the state register.
4.18. In registration number of the legal entity it is specified:
- sequence number of the state register;
- code of registering body (table 1);
- designation of form of business (table 2).

1.1. This standard charter is drafted according to the legislation of the Kyrgyz Republic and regulates activities of limited liability company.

1.5. Society is legal entity from the moment of state registration in the procedure established by the legislation of the Kyrgyz Republic.
1.6. Society has the isolated property, has separate balance, accounts in financial credit institutes, the seal and forms of the established sample, and also service mark which samples affirm the supreme body of management of Society and are registered in accordance with the established procedure.
1.7. Society can acquire on its own behalf the property and personal non-property rights, participate in civil circulation, perform duties, to be claimant and the defendant in the court having the right to make any transactions which are not prohibited by the legislation of the Kyrgyz Republic.
1.8. Intervention in economic and other activity of Society from the state, public and other organizations is not allowed if it does not affect their rights on control of its activities. Control and regulation of activities of Society from the state, public and other bodies is performed on the basis of the documents confirming their powers.
1.9. Society is owner:
- the property given it by participants;
- the property acquired by Society as a result of economic activity;
- and also other property acquired by it on other bases which are not prohibited by the legislation of the Kyrgyz Republic.
1.10. Society bears responsibility according to the obligations all the property and money on which by the legislation of the Kyrgyz Republic collection can be turned.

2.1. Main objective of activities of Society is generation of profit.
2.2. Society has the civil laws and obligations necessary for implementation of the any kinds of activities which are not prohibited by the legislation of the Kyrgyz Republic. The legal entity can be engaged in separate types of activity which list is determined by the legislation only based on special permission (license).
3.1. The authorized capital of Society is determined in the amount of ______ som.
3.2. The authorized capital determines the minimum size of property of the Society guaranteeing interests of his creditors.
3.3. If upon termination of the second or each subsequent financial year net assets value of Society appears less Authorized capital, Society shall declare reduction of the Authorized capital and register its reduction in accordance with the established procedure. 4.1. Society has the right:
- on its own behalf to conclude the bargains which are not prohibited by the legislation of the Kyrgyz Republic;
- hire and dismiss workers according to the existing labor law of the Kyrgyz Republic;
- to own, use and dispose independently of the property and money;
- perform other rights which are not prohibited by the legislation of the Kyrgyz Republic.
