About questions of registration of legal entities, branches and representations

According to the laws of the Kyrgyz Republic "About state registration of legal entities, branches (representations)" and "About regulatory legal acts of the Kyrgyz Republic", for the purpose of further enhancement of system of registration of legal entities, branches (representations) the Government of the Kyrgyz Republic decides:

1. Approve enclosed:

- Procedure for maintaining Unified State Register of Legal Entities, branches (representations);

- standard charter of limited liability company;

- standard charter of additional liability company;

- standard charter of open joint stock company;

- standard charter of private company;

- standard charter of commercial cooperative;

- standard charter of peasant economy;

- form of the registration statement.

2. Ceased to be valid according to the Order of the Government of the Kyrgyz Republic of 18.11.2015 No. 781

3. This resolution becomes effective since January 1, 2011.

Procedure for maintaining Unified State Register of Legal Entities, branches (representations)

1. The Unified State Register of Legal Entities, branches (representations) (further - the Register) represents the book containing data about the legal entities registered (re-registered) and stopped activities, branches (representations).

2. The register represents the book in firm cover which sheets are made of high-quality paper and shall be numbered, strung together, sealed official registering body and are signed by the head or his deputy supervising questions of registration of legal entities, branches (representations).

3. Entry in the Register is carried out in the state or official languages, clearly, erasures are not allowed. Corrections are certified by the signature of person entering record in the Register.

4. The Register contains the following data:

- complete, reduced (in case of availability) trade name in the state and official languages;

- date and number of the order on registration;

- date of primary state registration;

- legal form and pattern of ownership;

- method of formation of legal entity (creation or reorganization);

- registration number, tax ID number (further - INN), code of the all-republican qualifier of the companies and organizations (further - RCBO);

- legal address (location);

- phone number and fax, e-mail address;

- information about founders of the legal entity;

- the size of the authorized capital (share fund), the sizes of shares of founders (participants), except joint-stock companies;

- data that the legal entity is in process of liquidation;

- data on liquidation of the legal entity;

- information about the head;

- the information about the legal entity who created branch (representation);

- note;

- Full name, the signature of the official making records.

5. In  the column "Complete, Reduced (in case of Availability) Trade Name in the State and Official Languages" the trade name of the legal entity, branch (representation) in the state and official languages, with indication of form of business according to constituent documents is specified complete, reduced (in case of availability).

6. In the column "Date and Number of the Order on Registration" date and number of the order on state registration (re-registration) and registration of the termination of activities of the legal entity, branch (representation) are specified.

7. In the column "Date of Primary State Registration" record about date and number of the order on primary state registration of the legal entity, branch (representation) is made.

8. In the column "Legal Form and Pattern of Ownership" legal form and pattern of ownership of the legal entity are specified.

9. In the column "Method of Formation of Legal Entity (Creation or Reorganization)" the method of formation of legal entity (creation or reorganization) is specified.

10.
