About creation of Public institution of "Project management center on water resources management of the Fergana Valley"

According to Article 52 of the Civil code of the Republic of Tajikistan and for the purpose of water resources management of the Fergana Valley, effective use of the grant provided by International Development Association (World Bank) the Government of the Republic of Tajikistan decides:

1. Create Public institution "Project management center on water resources management of the Fergana Valley" and approve the enclosed its Charter.

Determine the executive agency of this Ministry OfMelioration and Water Resources of the Republic of Tajikistan Project.

2. To the Ministry of Finance of the Republic of Tajikistan annually to provide in the Government budget necessary means for providing contribution of the Government of the Republic of Tajikistan to project implementation on water resources management of the Fergana Valley.

3. To allocate to the state management committee with state-owned property of the Republic of Tajikistan together with the Ministry ofMelioration and Water Resources of the Republic of Tajikistan necessary rooms, as contribution of the Government of the Republic of Tajikistan for placement of Public institution of "Project management center on water resources management of the Fergana Valley".

4. To public institution of "Project management center on water resources management of the Fergana Valley" in coordination with the Ministry ofMelioration and Water Resources of the Republic of Tajikistan, the Ministry of Finance of the Republic of Tajikistan and International Development Association (World Bank) to develop and approve structure, the staff list and expense budget on content of the office of Public institution of "Project management center on water resources management of the Fergana Valley".

Charter of Public institution "Project management center water resources management of the Fergana Valley"

I. General provisions

1. The public institution "Project management center water resources management of the Fergana Valley" (further - the Center), is the specialized organizational structure providing project implementation water resources management of the Fergana Valley on the grant provided by International Development Association (World Bank), for the purpose of increase in potential of performance of the irrigated agricultural industry in the Fergana Valley by improvement of use of land and water resources, and also increase in level of safety and regulation of the Kayrakkumsky dike and water storage basin, promoting effective management of water resources at the level of river basin of the Syr Darya and decrease in level of poverty of the population in project areas.

2. The center performs the activities according to the legislation of the Republic of Tajikistan, other regulatory legal acts, the international legal acts recognized by the Republic of Tajikistan, recommendations of the World Bank and this Charter.

3. The center is independent legal entity, according to the legislation of the Republic of Tajikistan has settlement accounts in national and foreign currency in bank institutions, has the seal, stamps and forms with the name.

II. Purposes and object of activity of the Center

8. Object of activity of the Center are:

- the organization of activities of the Center together with the Ministry ofMelioration and Water Resources of the Republic of Tajikistan, with the ministries and departments, local executive bodies of the government and other organizations;

- implementation of coordination and providing working conditions for consultants, project implementation specialists;

- carrying out prequalification selection with the interested organizations, tendering process, assessment of the provided offers and agreement signature;

- ensuring timely financing of the Project and fee of consultants;

- implementation of purchases of goods, works and services according to the legislation of the Republic of Tajikistan and procedures of the World Bank;

- monitoring and quality control of the performed works on realization of components of the Project by the organizations and the executive agencies;

- implementation of foreign economic activity and the international backgrounds directed to accomplishment of tasks on project implementation.

III. Rights and obligations of the Center

9. The center has the right:

- in the procedure established by the law to perform ownership, use and the order of the property assigned to it as operational management of property;

- sign agreements (contracts), acquire the property and non-property rights, participate in court as the claimant and the defendant;

- to organize independently current and perspective activities;

- open settlement and currency accounts in bank institutions of the Republic of Tajikistan;

- perform financing of the specified Project, provide monitoring and assessment of work progress;

- make other actions which are not contradicting project objectives and the legislation of the Republic of Tajikistan.

10. The center shall:

- provide target and effective use of means of grants and deposits of the Government of the Republic of Tajikistan;

- according to the legislation of the Republic of Tajikistan to provide to the workers observance of the guarantees of the rights of citizens established by the state and to bear in accordance with the established procedure damage liability, put to their health and working capacity;

- perform operational and financial accounting of financial and economic activities, and also to keep statistical and accounting documentation;

IV. Sources of formation of means and property

11. The center has at the disposal of the building, the room, constructions, the equipment, stock and other property necessary for ensuring its activities provided by this Charter.

12. Means of the Center are formed for the account:

- grant of the World Bank provided on project implementation;

- the financial and material contributions made by the Government of the Republic of Tajikistan;

- the grants allocated by foreign states and the international organizations for project implementation;

- other sources which are not prohibited by the legislation of the Republic of Tajikistan.

13. Financial resources of the Center shall be used in accordance with the terms, provided in the grant agreement.

V. Management of activities of the Center

14. Governing body of the Center is the Director appointed to position and dismissed by the Government of the Republic of Tajikistan on representation of the Minister of Reclamation and Water Management of the Republic of Tajikistan and in coordination with the World Bank.

15. Are within the competence of the Director of the Center:

- organization of the common directorship all activities of the Center;

- representation of interests of the Center in the state, non-governmental and international organizations;

- approval of structure, form, the staff list, expense budget of the Center and its branches and the amount of compensation of workers in coordination with the Ministry ofMelioration and Water Resources of the Republic of Tajikistan, the Ministry of Finance and the World Bank;

- the conclusion of agreements (contracts) and making of other actions without power of attorney on behalf of the center within the Project;

- submission of reports of the Center to the Government of the Republic of Tajikistan, Ministry of Finance of the Republic of Tajikistan, Ministry ofMelioration and Water Resources of the Republic of Tajikistan, Center for coordination of the external help of Executive office of the President of the Republic of Tajikistan and World Bank;

- within the competence the publication of the orders and instructions obligatory for execution by all employees of the Center;

16. The director of the Center, performing the activities according to the legislation of the Republic of Tajikistan and this Charter, it is accountable in the activities to the Government of the Republic of Tajikistan and the World Bank.

17. The director of the Center bears the personal responsibility for accomplishment of the assigned tasks on the Center and establishes powers and responsibility of employees of the Center according to this Charter and functional obligations of each worker.

VI. Accounting and reporting

18. Financial accounting and the reporting of the Center is performed according to requirements of the legislation of the Republic of Tajikistan, and also according to international standards and requirements of the World Bank.

19. Results of activities of the Center are reflected in the monthly, quarterly, semi-annual and annual statements submitted to the Government of the Republic of Tajikistan, the Ministry of Finance of the Republic of Tajikistan to the Ministry ofMelioration and Water Resources of the Republic of Tajikistan, the Center for coordination of the external help of Executive Office of the President of the Republic of Tajikistan and the World Bank.

20. Financial and technical audit of the Center is performed by the independent auditors selected according to the procedures of selection established by the World Bank.

VII. Procedure for modification and amendments in the Charter of the Center

21. Changes and additions are made to the Charter of the Center in the procedure established by the legislation by the Government of the Republic of Tajikistan.

VIII. Liquidation of the Center

22. Reorganization (merge, accession, separation, allocation transformation) and liquidation of the Center is performed according to the decision of the Government of the Republic of Tajikistan according to the established legislation procedure.
