According to Articles 104 - 109 Civil codes of Ukraine, to Items 1, 3 parts two of Article 7, to Item 13 of article 8 of the Law of Ukraine "About state regulation of the security market in Ukraine", article 19 of the Law of Ukraine "About economic societies", to Articles 80 - 86 Laws of Ukraine "About joint-stock companies", for the purpose of enhancement of procedure for share issue in case of merge, accession, separation, allocation, transformation of societies the National commission on securities and the stock market SOLVED:

1. Approve Changes in the Procedure of issue and registration of share issue of the joint-stock companies created by merge, separation, allocations or transformations or to which accession, No. approved by the decision of the National commission on securities and the stock market of April 9, 2013 520, registered in the Ministry of Justice of Ukraine on May 21, 2013 for No. 795/23327 is performed (further - Changes) which are applied.

2. And corporate finances (A. Papaik) to provide to corporate management department submission of this decision on state registration in the Ministry of Justice of Ukraine.

3. This decision becomes effective from the date of its official publication, except the paragraph of the eighth Item 1 of Changes which becomes effective along with entry into force of the Law of Ukraine of April 15, 2014 No. 1206-VII "About modification of some legal acts of Ukraine concerning simplification of procedure for opening of business".

4. And clerical works (A.Zaik) to provide to management of information technologies promulgation of this decision on the official site of the National commission on securities and the stock market.

5. (A. Zbarazhskaya) to provide to management of internal audit and communications publication of this decision in the official printing publication of the National commission on securities and the stock market.

6. Control over the implementation of this decision to assign to the member of the National commission on securities and the stock market A. Amelin.

Changes in the Procedure of issue and registration of share issue of the joint-stock companies created by merge, separation, allocation or transformation or to which accession is performed

1. The Section I after Item 5 to add with new Items 6, 7 following contents:

"6. The joint-stock company makes the decision relatively:

the terminations by merge, separations or accessions;

allocations;

accessions of other joint-stock company

on condition of registration of the report on results of public or private placement of shares and/or issue of the registration certificate of the previous share issue.

Registration of share issue is performed by the Commission only on condition of registration of the report on results of public or private placement of shares and/or issue of the registration certificate of the previous share issue.

7. Documents (their copy) which according to this Procedure are filed to the Commission and shall be certified by seal (seals), require such certificate in the presence of corresponding seal (seals).".

With respect thereto Items 6 - 12 to consider respectively Items 8 - 14.
